Common use of User Fees Clause in Contracts

User Fees. You shall pay all fees (“Fees”) specified in all Purchase Orders / Sales Order hereunder. Except as otherwise specified herein or in a Purchase Order / Sales Order, (a) fees are quoted and payable in United States dollars (b) fees are based on Services and /or Software Products purchased and not actual usage, (c) payment obligations are non- cancelable and fees paid are non-refundable, and (d) the number of User subscriptions purchased cannot be decreased during the relevant subscription term stated on the Purchase Order / Sales Order. User subscription fees are based on such periods as shall be specified in the Purchase Order / Sales Order, (e) We may change the Fees upon notice to You according to Section 12.2 below.
