Common use of User Submissions Clause in Contracts

User Submissions. The Service may permit the submission of text, graphics, photos, videos, material, information, comments, feedback, notes, messages, ideas, concepts, know-how, techniques, or other communications and data submitted by You and other users, excluding Technical Support queries, (“User Submissions”) on the Service. By submitting any such materials to the Service, You represent and warrant that You will not submit or post material that is copyrighted, protected by trade secret or otherwise subject to third-party proprietary rights, including privacy and publicity rights, unless You are the owner of such rights or have permission from their rightful owner to submit or post the material. In addition, You agree to pay for all royalties, fees, and other payments owed to any party by reason of Your posting or submitting User Submissions. ITASCA EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY IN CONNECTION WITH USER SUBMISSIONS. You further represent and warrant that You have the permission of any individuals depicted in photographs, videos or recordings that You submit to the Service or on Itasca’s social media sites, to use their likeness and/or voice, as well as all other legal rights necessary to grant the license below to Itasca. If You submit any User Submissions to Itasca, You hereby grant a non-exclusive, royalty-free, perpetual right and license to Itasca and its affiliates to use, reproduce, distribute, display, transmit, publish, modify, edit and/or create derivative works from the User Submissions in any format, including without limitation coding or watermarking such User Submissions, on the Service and in related promotional materials provided in any medium, forum or format, for any purpose of Itasca or its affiliates in their sole discretion. You also agree that immediately upon the creation by or on behalf of Itasca of any derivative works from, modifications, edits or other changes to the User Submissions (the “Modified Content”), the Modified Content will become the sole and exclusive property of Itasca and that We will own the entire right, title and interest in and to the Modified Content, including the right to secure copyright registration for the Modified Content and to otherwise use the Modified Content for any purpose as determined by Itasca in its sole discretion. You hereby grant, assign, transfer and convey any and all right, title or interest You have or may be deemed to have in and to the Modified Content to Itasca. Itasca welcomes Your comments and suggestions. However, except for any personal information we may collect from You pursuant to our Privacy Policy, User Submissions will be considered non-confidential and non-proprietary. You understand that whether or not such User Submissions are published or posted, Itasca (1) does not guarantee any confidentiality with respect to any User Submissions (except as described in our Privacy Policy), (2) does not pay any compensation for User Submissions, and (3) is under no obligation to respond to or post any User Submissions. YOU AGREE TO WAIVE, AND HEREBY DO WAIVE, ANY LEGAL OR EQUITABLE RIGHTS OR REMEDIES YOU HAVE OR MAY HAVE AGAINST THE ITASCA PARTIES WITH RESPECT TO USER SUBMISSIONS, AND AGREE TO INDEMNIFY AND HOLD THE ITASCA PARTIES HARMLESS TO THE FULLEST EXTENT ALLOWED BY LAW REGARDING ALL MATTERS RELATED TO YOUR USER SUBMISSIONS AND YOUR USE OF THE SERVICE.

User Submissions. The Service may permit personal information you submit to CareCloud is governed by the submission CareCloud Privacy Policy. To the extent there is an inconsistency between this Agreement and the CareCloud Privacy Policy, this Agreement shall govern. You agree that you will not upload or transmit any communications or content of textany type to the “Public Areas” on the portal (including blogs, graphicsmessage boards, photospostings, videos, material, user reviews of drug information, commentsetc.), feedbackthat infringe or violate any rights of any party. If you make any such submission, notes, messages, ideas, concepts, know-how, techniques, you agree that you will not send or other communications and data submitted transmit to CareCloud by You and other users, excluding Technical Support queries, email (“User Submissions”) including through the email addresses listed on the Service"Contact Us" page), any communication or content that infringes or violates any rights of any party. By submitting If you submit any business information, idea, concept or invention to CareCloud by email, you agree such materials submission is non-confidential for all purposes. If you make any submission to the Servicea Public Area or if you submit any business information, You represent and idea, concept or invention to CareCloud by email, you automatically grant or warrant that You will not submit or post material that is copyrighted, protected by trade secret or otherwise subject to third-party proprietary rights, including privacy and publicity rights, unless You are the owner of such rights content or have permission from their rightful owner to submit or post the material. In addition, You agree to pay for all royalties, fees, and other payments owed to any party by reason of Your posting or submitting User Submissions. ITASCA EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY IN CONNECTION WITH USER SUBMISSIONS. You further represent and warrant that You have the permission of any individuals depicted in photographs, videos or recordings that You submit to the Service or on Itasca’s social media sites, to use their likeness and/or voice, as well as all other legal rights necessary to grant the license below to Itasca. If You submit any User Submissions to Itasca, You hereby grant intellectual property has expressly granted CareCloud a non-exclusive, royalty-free, perpetual right and perpetual, irrevocable, world-wide nonexclusive license to Itasca and its affiliates to use, reproduce, distribute, display, transmit, publish, modify, edit and/or create derivative works from the User Submissions in any format, including without limitation coding or watermarking such User Submissions, on the Service and in related promotional materials provided in any medium, forum or format, for any purpose of Itasca or its affiliates in their sole discretion. You also agree that immediately upon the creation by or on behalf of Itasca of any derivative works from, modificationsmodify, edits publish, edit, translate, distribute, perform, and display the communication or other changes content in any media or medium, or any form, format, or forum now known or hereafter developed. CareCloud may sublicense its rights through multiple tiers of sublicenses if you agree to the User Submissions only post or upload Media (the “Modified Content”)like photos, the Modified Content will become the sole and exclusive property of Itasca and videos or audio) that We will own the entire right, title and interest in and to the Modified Content, including you have taken yourself or that you have the right to secure copyright registration transmit, and which do not violate trademark, copyright, privacy or any other rights of any other person. Photos or videos of celebrities and cartoon or comic images are usually copyrighted by the owner. To protect your privacy, you agree that you will not submit to the Public Areas of the portal, any media that contains Personally Identifiable Information (i.e., like name, phone number, email address or web site URL) of you or of anyone else. Uploading media like images or video of other people without their permission is strictly prohibited. By uploading any media on this Site, you warrant that you have permission from all persons appearing in your media for you to make this contribution. CareCloud requests that you never post a picture or video of or with someone else unless you have their explicit permission. CareCloud reserves the right to review all media prior to submission to the Site, and to remove any media for any reason, at any time, without prior notice, at CareCloud’s sole discretion CareCloud Community and Member to Member Areas CareCloud may offer forums for the Modified Content exchange of information among our users. If you use a Public Area, such as message boards, blogs, user reviews or other member communities, you are solely responsible for your own communications, the consequences of posting those communications, and to otherwise your reliance on any communications found in the Public Areas. CareCloud and its licensors are not responsible for the consequences of any communications in the Public Areas. In cases where you feel threatened or believe someone else is in danger, you should contact your local law enforcement agency immediately. If you think you may have a medical emergency, call your doctor or 911 immediately. In using the Public Areas on this Site, you agree as follows: (i) you will not use the Modified Content a Public Area for any purpose in violation of local, state, national, or international laws; (ii) post material that infringes on the intellectual property rights of others or on the privacy or publicity rights of others; (iii) post material that is unlawful, obscene, defamatory, threatening, harassing, abusive, slanderous, hateful, or embarrassing to any other person or entity as determined by Itasca CareCloud in its sole discretion. You hereby grant; (iv) post advertisements or solicitations of business; (v) continue to disrupt, assignafter receipt of a warning, transfer and convey any and all rightthe normal flow of dialogue, title or interest You have or may be deemed to have in and posting comments that are not related to the Modified Content topic being discussed (unless it is clear the discussion is free-form); (vi) post chain letters or pyramid schemes; (vii) impersonate another person; (viii) distribute viruses or other harmful computer code; (ix) harvest or otherwise collect information about others, including email addresses, without their identification for posting or viewing comments; (x) allow any other person or entity to Itasca. Itasca welcomes Your comments and suggestions. Howeveruse your identification for posting or viewing comments; (xi) post the same note more than once or "spamming;" or (xii) engage in any other conduct that restricts or inhibits any other person from using or enjoying the Public Area or the Site; or which, except for in the judgment of CareCloud, exposes CareCloud or any personal information we may collect from You pursuant to our Privacy Policy, User Submissions will be considered non-confidential and non-proprietary. You understand that whether of its customers or not such User Submissions are published or posted, Itasca (1) does not guarantee any confidentiality with respect suppliers to any User Submissions (except as described in our Privacy Policy), (2) does not pay liability or detriment of any compensation for User Submissions, and (3) is under no obligation to respond to or post any User Submissions. YOU AGREE TO WAIVE, AND HEREBY DO WAIVE, ANY LEGAL OR EQUITABLE RIGHTS OR REMEDIES YOU HAVE OR MAY HAVE AGAINST THE ITASCA PARTIES WITH RESPECT TO USER SUBMISSIONS, AND AGREE TO INDEMNIFY AND HOLD THE ITASCA PARTIES HARMLESS TO THE FULLEST EXTENT ALLOWED BY LAW REGARDING ALL MATTERS RELATED TO YOUR USER SUBMISSIONS AND YOUR USE OF THE SERVICEtype.

You further represent and warrant that You shall be deemed to have the permission of any individuals depicted in photographsgranted to Bravely Go LLC a worldwide, videos or recordings that You submit to the Service or on Itasca’s social media sites, to use their likeness and/or voice, as well as all other legal rights necessary to grant the license below to Itasca. If You submit any User Submissions to Itasca, You hereby grant a non-exclusiveperpetual, royalty-free, perpetual right and non-exclusive, transferrable, sub-licensable, license to Itasca and its affiliates to usecache, reproducecopy, distribute, transmit, publicly display, transmit, publish, modify, edit and/or create derivative works from reproduce and otherwise use or exploit the User Submissions on the Site and in any formatother media, including digital or analog, now known or hereafter developed throughout the universe including, without limitation coding limitation, the internet, mobile devices, and in advertising or watermarking such User Submissionspromotion, print or otherwise. YOU WILL CONTINUE TO OWN ANY IPR IN AND TO THE SUBMISSIONS THAT YOU ACTUALLY OWN WHEN YOU SENT SAID SUBMISSIONS TO THE WEBSITE. FURTHERMORE, YOU WILL CONTINUE TO HAVE CONTROL OVER SAID SUBMISSIONS. For the avoidance of doubt, by submitting your Submission you understand and agree that: (1) any Submissions may become publicly viewable on the Service and in related promotional materials provided in any medium, forum Site or format, for any purpose of Itasca or its affiliates in their sole discretion. You also agree that immediately upon the creation by or on behalf of Itasca of any derivative works from, modifications, edits or other changes to the User Submissions elsewhere; (the “Modified Content”), the Modified Content will become the sole and exclusive property of Itasca and that We will own the entire right, title and interest in and to the Modified Content, including 2) Bravely Go LLC has the right to secure copyright registration for publish your user name in connection with your Submissions, wherever applicable; (3) you will only submit Submissions that you own or have permission to submit from the Modified Content owner, in which case you will provide Bravely Go LLC upon request with a copy of a written consent from the owner; and (4) your Submission constitutes a waiver of the right to otherwise use privacy or publicity of the Modified Content for owner of the Submission and any purpose as determined by Itasca third party named in its sole discretion. You hereby grant, assign, transfer and convey any and all right, title or interest You have or may be deemed to have in and to the Modified Content to Itasca. Bravely Go LLC shall have no obligation to pay you any compensation for User your Submissions and with respect to Bravely Go LLC’s use or nonuse of your Submissions, and (3) is under no obligation to respond post or use any Submissions you may provide. Bravely Go LLC may, in its sole discretion, remove any Submissions at any time, with or without notice to you, prior or post otherwise. You may request the removal of your Submissions for any reason on reasonable written notice to Bravely Go LLC, on receipt of which Bravely Go LLC will take commercially reasonable steps to comply. Neither these Terms nor the Privacy Policy governs or protects any information that you have publicly disclosed on the Site. It is your responsibility to review what information you wish to share with members and non-members of the Site. Bravely Go LLC recommends that you do not list any actual contact information in an item listing or in any other public Submission. In the event that you choose to publicly share such contact information, you do so at your own risk. You understand and acknowledge that you are responsible for any User SubmissionsContributions you submit or contribute, and you, not the Company, have fully responsibility for such content, including its legality, reliability, accuracy and appropriateness. YOU AGREE TO WAIVEWe are not responsible, AND HEREBY DO WAIVEor liable to any third party, ANY LEGAL OR EQUITABLE RIGHTS OR REMEDIES YOU HAVE OR MAY HAVE AGAINST THE ITASCA PARTIES WITH RESPECT TO USER SUBMISSIONS, AND AGREE TO INDEMNIFY AND HOLD THE ITASCA PARTIES HARMLESS TO THE FULLEST EXTENT ALLOWED BY LAW REGARDING ALL MATTERS RELATED TO YOUR USER SUBMISSIONS AND YOUR USE OF THE SERVICEfor the content or accuracy of any User Contributions posted by you or any other user of the Website.

If You submit any User Submissions to Itasca, You hereby grant a non-exclusive, royalty-free, perpetual right and license to Itasca and its affiliates to use, reproduce, distribute, display, transmit, publish, modify, edit and/or create derivative works from the User Submissions in any format, including without limitation coding or watermarking such User Submissions, on the Service and in related promotional materials provided in any medium, forum or format, for any purpose of Itasca or its affiliates in their sole discretion. You also agree that immediately upon the creation by or on behalf of Itasca of any derivative works from, modifications, edits or other changes to the User Submissions (the “Modified Content”), the Modified Content will become the sole and exclusive property of Itasca and that We will own the entire right, title and interest in and to your User Submissions or are otherwise authorized to grant the Modified Contentrights provided to 180 herein and (ii) that doing so will not violate any law or infringe upon or violate the rights of any person or entity. By posting User Submissions on or through the Services or otherwise providing feedback to us (e.g., in responding to surveys or questionnaires), whether solicited or unsolicited by us, including the right without limitation any individually identifiable health or personal information you submit to secure copyright registration for the Modified Content us, you hereby irrevocably and unconditionally assign to us all right, title, and interest in and to otherwise use any such User Submissions (including, without limitation, any modifications, reproductions, or derivative works thereof), and all User Submissions, you supply to us through the Modified Content for Mobile App or the Services shall be deemed and shall remain our property, subject to 180’s compliance with these Terms, the Privacy Policy, and all applicable federal and state privacy laws in creating, using and disclosing such User Submissions. Except as provided in the Privacy Policy, none of the User Submissions shall be subject to any purpose as determined by Itasca in its sole discretion. You hereby grantobligation of confidence on our part, assign, transfer and convey you agree to waive any and all right, title claims arising from or interest You have or may be deemed to have in and relating to the Modified Content to Itasca. Itasca welcomes Your comments and suggestions. However, except for any personal information we may collect from You pursuant to our Privacy Policy, User Submissions will be considered non-confidential and non-proprietaryexercise by 180 of the rights granted herein. You understand that whether or not such 180 shall have the right to de-identify all User Submissions are published in accordance with 45 CFR section 164.514 and use such de-identified data for its own business purposes, as well as reformat, excerpt, or postedtranslate any materials, Itasca (1) does content or information submitted by you, including all User Submissions. By providing you with the ability to distribute User Submissions through the Services, 180 is not guarantee undertaking any confidentiality with respect obligation or liability relating to any User Submissions (except as described in our Privacy Policy)or activity related thereto, (2) nor does 180 endorse any such User Submissions or activities. 180 cannot pay guarantee the authenticity of any compensation for data which users may provide about themselves through the Services. You acknowledge that all User Submissions are the sole responsibility of the person who made such User Submissions. This means that you are entirely responsible for all User Submissions that you upload, post, transmit or otherwise display to the Site, the Mobile App and (3) is under the Services. We do not control the User Submissions uploaded, posted, transmitted or otherwise displayed on our Services by others; therefore, we do not guarantee the accuracy, integrity or quality of such User Submissions. You understand and agree that you may be exposed to User Submissions that are offensive or objectionable by using the Services. Although we reserve the right, 180 has no obligation to respond to monitor the Mobile App, Services, Content, or post any User Submissions. YOU AGREE 180 may edit, modify, suspend or remove any User Submission at any time for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such User Submission, in order to comply with applicable laws or failure to adhere to community standards and conduct guidelines set forth in these Terms or otherwise established by 180), or for no reason at all. 180 DISCLAIMS ANY ACTUAL OR IMPLIED DUTY TO WAIVE, AND HEREBY DO WAIVE, ANY LEGAL OR EQUITABLE RIGHTS OR REMEDIES YOU HAVE OR MAY HAVE AGAINST THE ITASCA PARTIES WITH RESPECT TO USER SUBMISSIONS, AND AGREE TO INDEMNIFY AND HOLD THE ITASCA PARTIES HARMLESS TO THE FULLEST EXTENT ALLOWED BY LAW REGARDING ALL MATTERS RELATED TO YOUR MONITOR USER SUBMISSIONS AND YOUR USE OF SPECIFICALLY DISCLAIMS ANY RESPONSIBILITY OR LIABILITY FOR ANY USER SUBMISSIONS OR OTHER INFORMATION PROVIDED THROUGH THE SERVICESERVICES.
