Common use of UT Institution Approval Process Clause in Contracts

UT Institution Approval Process. Notwithstanding any other provision in this Contract to the contrary, this Contract may be subject to review and approval by the Board of Regents of The University of Texas System (“Board of Regents”) under the Rules and Regulations of the Board. If such Board of Regents review and approval is required, then the validity and effectiveness of this Contract is contingent upon such approval through the agenda requirements and approval process under the Rules and Regulations of the Board of Regents. If the Board of Regents does not approve this Contract, then the Contract will terminate effective as of the date of non-approval by the Board of Regents and the Performing Agency may submit a final invoice to System Agency within 30 days of such non-approval requesting System Agency’s payment to Performing Agency for the goods or services provided by Performing Agency in compliance with the terms and conditions of this Contract prior to the Board’s non-approval. In the event that the Board of Regents does not approve this Contract, the total amount that System Agency pays to Performing Agency under this Contract will not in any event exceed $5,000,000.00.
