Utility Fund. In consideration of the mutual covenants set forth in the Distributor's Contract dated December 1, 1993, between Insurance Management Series and Federated Securities Corp., Insurance Management Series executes and delivers this Exhibit on behalf of the Funds first set forth in this Exhibit. Witness the due execution hereof this 1st day of December, 1993.
Utility Fund. The City’s Finance Office will account for the funds in such a way that the City will be able to meet its obligation to remit any excess FEE that was collected back to the Landowner or its designee.

In exchange for the City approving the Final Plat on the previously described lots and upgrading the Lift Station so that there is sufficient capacity to serve the proposed developments as provided above, the Landowner agrees to pay or to cause the occupants of the Development to pay their proportionate share of the total upgrade costs for the required Lift Station improvements as herein provided.
