Vacation of Office. The office of a director shall ipso facto be vacated if: (a) he dies; (b) by notice in writing to the Corporation, he resigns his office and such resignation, if not effective immediately, becomes effective in accordance with its terms; (c) he is removed from office in accordance with section 109 of the Act; or (d) he ceases to be qualified to be a director.
