Common use of Vendor’s Responsibility Clause in Contracts

Vendor’s Responsibility. If Seller determines that the Interface Problem is primarily attributable to a defect in the design of a component not manufactured to Seller’s design, Seller shall, if requested by Buyer, assist Buyer in processing any warranty claim Buyer may have against the manufacturer of such component. Seller shall also take whatever action is permitted by its contract with such manufacturer in an effort to obtain a correction of the Interface Problem acceptable to Buyer.

Vendor’s Responsibility. If the Seller determines that the Interface Problem is primarily attributable to a defect in the design of a component not manufactured to Seller’s designany Vendor Part, the Seller shall, if so requested by the Buyer, reasonably assist the Buyer in processing any warranty claim the Buyer may have against the manufacturer of such component. Seller shall also take whatever action is permitted by its contract with such manufacturer in an effort to obtain a correction of the Interface Problem acceptable to BuyerVendor.
