Venue for Dispute Resolution. Any suit or action at law or in equity initiated by either party to enforce or interpret this Agreement will be brought in a court of competent jurisdiction in Santa Xxxxx County, California.

The parties agree to submit to the jurisdiction of the state courts of Tennessee located in Xxxxxxxx County or the United States District Court for the Easter District of Tennessee in connection with any matters arising out of this Agreement and not to assert a defense of forum non-conveniens or sovereign immunity doctrines in connection with any action.

Except as set forth in Section 11.3(d) of this Agreement, any claim or other controversy, claim or dispute, whether based on contract, tort, statute or any other legal or equitable theory, arising out of or relating to this Agreement or the transactions contemplated hereby (“Dispute”) shall be settled by arbitration located in the State of Delaware as further described in Section 11.3(d). Each of the Parties expressly submits to the exclusive jurisdiction of such arbitration and waives any claim of improper jurisdiction or lack of venue in connection with any claim or controversy that may be brought in connection with this Agreement. Each Party hereby agrees that such arbitration conducted in the State of Delaware, shall have in personam jurisdiction with respect to such Party, and such Party hereby submits to the personal jurisdiction of such proceeding.

The parties agree to submit to the federal and state courts having jurisdiction in Hamilton County, Tennessee in connection with any matters arising out of this Agreement and not to assert a defense of forum non-conveniens or sovereign immunity doctrines in connection with any action.
Venue for Dispute Resolution. Any and all lawsuits pertaining to the subject matter of this Agreement shall be venued in the Circuit Court for Xxxxxx County, Wisconsin.
Venue for Dispute Resolution. The parties agree that any dispute arising out of this Agreement that cannot be resolved will be submitted to any court sitting in Xxxxxxxx, Xxxxxx, Xxxxxx, and each of them hereby submit to the jurisdiction of such courts for such purpose.
