VIOLATION OF LAWS, PERMITS, ETC. (a) Biosource is not in violation of any term or provision of its Articles of Incorporation or Bylaws, or of any material term or provision of any judgment, decree, order, statute, law, injunction, rule, ordinance, or governmental regulation that is applicable to it and where the failure to comply with which would have a Biosource Material Adverse Effect. (b) Biosource has maintained in full force and effect all certificates, licenses, and permits material to the conduct of its business, and has not received any notification that any revocation or limitation thereof is threatened or pending.

VIOLATION OF LAWS, PERMITS, ETC. (a) Sunburst is not in violation of any term or provision of its Articles of Incorporation or bylaws, or in any material respect of any term or provision of any judgment, decree, order, statute, injunction, rule, ordinance or governmental regulation applicable to it and where the failure to comply with which would have a Material Effect. (b) Sunburst has maintained in full force and effect all certificates, licenses and permits material to the conduct of its business, and has not received any notification that any revocation or limitation thereof is threatened or pending. (c) All shares of issued and outstanding capital stock of Sunburst have been issued in compliance with all applicable securities laws.
VIOLATION OF LAWS, PERMITS, ETC. Except as provided in Schedule 4.5(a) attached hereto and made a part hereof, the Seller is not in violation of any term or provision of their Articles of Organization, as amended, or Operating Agreement, as amended, or of any term or provision of any judgment, decree, order, injunction, or, to the best of the Seller's knowledge after due inquiry, any statute, rule, ordinance or governmental regulation applicable to the Seller (including, but without limitation, Medicare or Medicaid fraud and abuse laws, rules and regulations) nor of any agreement, contract or instrument applicable to the Seller where the violation or all violations in the aggregate would materially and adversely affect the Seller's Business, Assets or prospects. Within the past three years, except as described in Schedule 4.5(b), no investigation of any type was or is pending or threatened against either of the Seller and no governmental agency has revoked or denied an application for a permit or license by either of the Seller. Attached hereto as Schedule 4.5(c) are true and correct copies of any and all material licenses and permits required or needed by the Seller to conduct their business. The Seller has maintained in full force and effect all licenses and permits material to the conduct of their business, and the Seller has not received any notification that any revocation or limitation thereof is threatened or pending, except as set forth on Schedule 4.5(c). In addition, all employees of the Seller who are required in the conduct of their job to be licensed by state regulatory boards are in good standing with such boards.

VIOLATION OF LAWS, PERMITS, ETC. Neither the Company nor any of its Subsidiaries is in violation of (i) applicable Laws or Permits (other than Environmental Laws and Permits under Environmental Laws as to which the Company’s exclusive representations and warranties are made in Section 4.10); or (ii) any term, condition or provision of any agreement, note, bond, mortgage, contract, franchise or license to which it or the Subsidiaries are a party or any of its or the Subsidiaries’ assets are bound, other than in the cases of clauses (i) and (ii) of this Section, such violations which would not reasonably be expected to have a Material Adverse Effect.

(b) LPME has maintained in full force and effect all certificates, licenses, and permits material to the conduct of its business, and has not received any notification that any revocation or limitation thereof is threatened or pending.
