Common use of Vyhlásenia a záruky Clause in Contracts

Vyhlásenia a záruky. (a) Institution represents and warrants that: (a) Zariadenie vyhlasuje a zaručuje, že: (i) the terms of this Agreement are valid and binding obligations of Institution, and are not inconsistent with (A) any other contractual or legal obligation it or Principal Investigator may have; or (B) policies and procedures of Institution or any organization with which either Institution or Principal Investigator is affiliated; (i) podmienky tejto Zmluvy tvoria platné a záväzné povinnosti Zariadenia a nie sú v rozpore s (A) inými zmluvnými alebo zákonnými povinnosťami Zariadenia alebo Zodpovedného skúšajúceho; alebo (B) stratégiami a postupmi Zariadenia alebo organizácie, ktorých je Zariadenie alebo Zodpovedný skúšajúci členom; (ii) Institution’s and Institution Personnel’s performance of the services and acceptance of compensation or reimbursement of expenses as set forth in Exhibit A is in compliance with all policies and procedures of Institution, and Principal Investigator’s performance of such services does not present a conflict of interest with Principal Investigator’s official duties; (ii) Vykonávanie služieb a prijatie odmeny alebo náhrady výdavkov, ako to je uvedené v Prílohe A, zo strany Zariadenia a Personálu zariadenia je v súlade so všetkými stratégiami a postupmi Zariadenia a vykonávanie takýchto služieb zo strany Xxxxxxxxxxxx skúšajúceho nepredstavuje konflikt záujmov s jeho oficiálnymi povinnosťami; (iii) Institution and Principal Investigator have adequate facilities, resources, training and expertise to conduct the Study in accordance with the Protocol and applicable Laws; and (iii) Zariadenie a Zodpovedný skúšajúci majú primerané priestory, zdroje, zručnosti a odborné znalosti na vykonanie Skúšania podľa protokolu a platných Právnych predpisov a (iv) Principal Investigator has a current and valid medical license or its equivalent in the jurisdiction in which the Study is being performed.
