Wafers. Each Lot of Engineering Wafers shall consist of no less than five (5) and no more than twenty-five (25) Wafers.
Wafers. Company will invoice Conexant for all Wafers upon completion of production of each Lot, at the applicable Wafer price calculated pursuant to Exhibit A (Pricing) in effect on the date of the invoice, less any applicable Wafer Credits (as defined in Section 6.2 (Wafer Credits) below). For Lots of Engineering Wafers, Company will invoice Conexant at the end of each month for all Moves completed with respect to such Engineering Wafers during such month, and upon completion of production for Engineering Wafers for any completed Moves not previously invoiced. Each invoice submitted to Company shall specifically set forth the Wafer Credits, if any, applied to such invoice. In Segments 1 through 6, Conexant shall pay any amounts due on such invoices within […***…] of the receipt of the invoice and in all subsequent Segments such payments shall be made within […***…] of receipt of the invoice. Notwithstanding any other provision hereof, neither Party may offset any amounts owed by such Party to the other Party against any amounts from such other Party, without such other Party’s express written agreement to such offset in each case.

Wafers. For personalized ASIC Wafers drawn from mid-flow inventories, the smallest quantity that shall be ordered by National is three (3) Wafers, except for Wafers manufactured in the five-inch (5") fab, in which case the smallest quantity that can be ordered is six (6)
Wafers. 1) If any purchase order is canceled prior to wafer start date, Customer shall pay [*].
2) If any purchase order is canceled after wafer start, Customer shall pay [*].
Wafers. Non-probed four (4) and/or five (5) inch silicon wafers produced during the PILOT PRODUCTION and VOLUME PRODUCTION which meet the COMMON SPECIFICATIONS.
Wafers. Non-probed silicon wafers produced during the PILOT PRODUCTION and VOLUME PRODUCTION which meet the COMMON SPECIFICATIONS and that may be identified by additional specifications in an exhibit that is added hereto by written agreement of the parties.
Wafers. Non-probed silicon wafers manufactured by SUPPLIER for PI in accordance with the COMMON SPECIFICATION.
Wafers. Orbit warrants that it will use reasonable engineering methods and ------ standards to manufacture the Wafers, and Wafers delivered under this Agreement shall meet the quality and reliability criteria agreed on by the parties as set forth in Section 8 above. If the Wafers do not conform to this limited warranty, then Orbit shall, at its option, either repair, replace, or credit Paradigm for such defective Wafers. The foregoing warranty constitutes Orbit's exclusive liability, and Paradigm's exclusive remedy for any non-conformity of the Wafers with the quality and reliability criteria established in accordance with Section 8 above, or for any defects in material, workmanship or performance of the Wafers. THE FOREGOING WARRANTY SHALL BE EXCLUSIVE AND IN LIEU OF ANY AND ALL OTHER WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ALL OF WHICH ARE HEREBY EXPRESSLY DISCLAIMED. SRAM Process Technology and SRAM Process Technology Documentation. Paradigm ----------------------------------------------------------------- warrants that during the term of the license granted under this Agreement, the Wafer Fab Operation, SRAM Process Technology and reticles for Paradigm SRAM products, if used by Orbit in accordance with the SRAM Process Technology Documentation, will enable Orbit to manufacture Wafers.
