Common use of Waiver and Reservation of Rights Clause in Contracts

Waiver and Reservation of Rights. Any waiver hereof will be effective only if made in writing and signed by all Parties. Failure to exercise, or delay in exercising, any right, power or remedy under this Agreement will not operate as a waiver, and any single or partial exercise of any right or remedy will not prevent any further exercise of the same or other right or remedy. A waiver of a breach of this Agreement will not be deemed to be a waiver of a subsequent breach. Parties reserve all rights not expressly granted under this Agreement. Rights and remedies prescribed in this Agreement are cumulative and not exclusive of any others provided by law. Any waiver of any breach of this Agreement shall not be deemed to be a waiver of any subsequent breach. UiPath reserves all rights not expressly granted under this Agreement.
