Waiver of Deferred Discount. Each of the Sponsor and the Purchaser hereby acknowledge that the consummation of the Transactions is contingent upon UBS Securities LLC (“UBS”), one of the Company’s underwriters in its initial public offering, waiving any rights it may have to the Deferred Discount (as defined in the Underwriting Agreement entered into by the Company and UBS on November 22, 2021) in a form signed by UBS and agreeable to the Purchaser.
