WAIVER, SEVERABILITY AND ASSIGNMENT. HATDeX’s failure to enforce a provision of the Terms does not waive its right to do so later. If a provision is found unenforceable, the remaining provisions of the Terms will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible. The User may not assign any of their rights under these Terms, and any such attempt will be void. HATDeX may assign its rights to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with the Services.

Customer may not assign any of its rights under this Agreement, and any such attempt will be null and void. Notwithstanding anything to the contrary herein, Xxxxx Server may assign its rights to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with the Services.

If any provision of this Agreement is held to be unenforceable for any reason, the provision will be reformed only to the extent necessary to make it enforceable, and such decision will not affect the enforceability of such provision under other circumstances, or of the remaining provisions hereof under all circumstances. Except for assignment to your Affiliate, you may not assign any of your rights under this Agreement without our written consent, which we will not unreasonably withhold. We may assign our rights to our Affiliates, or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. Subject to the foregoing, this Agreement will bind and inure to the benefit of the parties, their respective successors and permitted assigns.

If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible. The Client may not delegate, transfer or assign this Agreement or any of your rights or obligations hereunder without prior written consent by Advent Media, and any such attempt will be of no effect. Advent Media may delegate, transfer, or assign this Agreement or some or all our rights and obligations hereunder, in our sole discretion, to any of our affiliates or subsidiaries or to any purchaser of any of our business or assets associated with the Services, with thirty (30) days prior written notice.

The exercise by a party of any of its remedies under these Terms will be without prejudice to its other remedies under the Terms or available at law or in equity.

Any forbearance or delay on the part of any party in enforcing any provision of this Agreement or any of its rights hereunder shall not be construed as a waiver of such provision or of a right to enforce same for such occurrence or any future occurrence. If any one or more of the provisions of this Agreement shall for any reason be held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall be unimpaired and shall remain in full force and effect, and the invalid, illegal or unenforceable provision shall be replaced by a valid, legal and enforceable provision that comes closest to the intent of the parties underlying the invalid, illegal or unenforceable provision. You and Investor may not assign your rights or obligations under this Agreement without the prior written consent of SLS and any attempt to do so without such consent shall be null and void.
WAIVER, SEVERABILITY AND ASSIGNMENT. 15.1. Our failure to enforce any provision of these terms and conditions is not a waiver of our right to do so later.
