WARRANTIES BY CATALYTICA. (a) Catalytica warrants to Customer that the Product prior to and at the time of sale and shipment by Catalytica, (1) will conform to the Specifications, as then in effect, (2) will have been formulated, manufactured, stored, tested, labeled and shipped in accordance with cGMP, and all Applicable Laws and Regulations, and as set forth in the Certificate of Compliance and Certificate of Analysis for such Product (provided in accordance with the Quality Agreement) and (3) will not be (i) adulterated or misbranded by Catalytica within the meaning of the FD&C Act, or (ii) an article that may not be introduced into interstate commerce under the provisions of Sections 404 or 505 of the FD&C Act, or (iii) an article that fails to comply with all Applicable Laws and Regulations.
