Warranties of the Subscriber. The Subscriber represents and warrants as follows (for persons subscribing jointly, the representations and warranties set forth below are true as to all such persons. For revocable trusts, the representations and warranties set forth below are also true as to each grantor of the trust. For corporations, partnerships, trusts and other entities formed specifically to invest in Aura (including any entity in which any one of the beneficial owners may elect not to participate in the investment) the representations and warranties set forth below are also true as to every person having a beneficial interest in such corporation, partnership, trust or other entity):

Warranties of the Subscriber. The Subscriber hereby represents, warrants, and undertakes to the Company on the date hereof and as at the Completion Date that: the Subscriber has the power and capacity to enter into and perform all the obligations of the Subscriber set out in this Agreement and that this Agreement constitutes the valid and binding obligations on it, enforceable in accordance with its terms; the Subscriber has taken all necessary action (including obtaining all consents, approvals, authorizations from its directors and/or shareholders (as may be required) or other orders of all regulatory authorities (as necessary)) in connection with its entry into and execution of this Agreement and the performance of its obligations under this Agreement and such consents, approvals authorizations or orders as the case may be are in full force and effect; the Subscriber’s entry into, and/or performance of its obligations under, this Agreement and does not and will not conflict with, or result in a breach of any of the terms or provisions of, or constitute a default under any existing law or regulation or court order applicable to or affecting the Subscriber and do not and will not infringe the terms of, or constitute a default under, or cause to be exceeded any limit imposed by, any agreement or other instrument or obligation to which the Subscriber is a party or by which the Subscriber or any part of its assets or property is bound, the infringement of which will render the Subscriber unable to perform or comply with any of its obligations hereunder. all information provided by the Subscriber in respect of any AML Procedures is true, accurate and complete, and all information provided by the Subscriber in the Investor Declaration Form is true, accurate, complete, and not misleading.
