WARRANTY OF CAPACITY. Section A. Each of the parties hereto warrants that it is under no disability of any kind that will prevent it from completely carrying out and performing each and all of the provisions of the Agreement and, further, that it will not take any action of any kind that will prevent or impede it in the complete performance of each and every provision.

WARRANTY OF CAPACITY. Each individual and entity executing this Agreement hereby represents and warrants that he, she or it has the capacity set forth on the signature pages hereof with full power and authority to bind the party on whose behalf he, she or it is executing this Agreement to the terms hereof.
WARRANTY OF CAPACITY. Each of the parties warrants that it is in good standing, that it has power to enter into and perform this Agreement, and that it has obtained all necessary approvals to do so.
