  • Service Contract The Parties intend this Agreement to be a "service contract" within the meaning of Section 7701(e)(3) of the Internal Revenue Code of 1986.

  • Service Contracts (a) The Trustees may, at any time and from time to time, contract for exclusive or nonexclusive advisory, management and/or administrative services for the Trust or for any Series with any Person; and any such contract may contain such other terms as the Trustees may determine, including without limitation, authority for the Investment Adviser to determine from time to time without prior consultation with the Trustees what investments shall be purchased, held, sold or exchanged and what portion, if any, of the assets of the Trust shall be held uninvested and to make changes in the Trust's investments, and such other responsibilities as may specifically be delegated to such Person.

PO Box 669, Findlay, Ohio, U.S.A. 45840 Telephone: (000) 000-0000 FAX: (000) 000-0000 LIMITED IN-HOME APPLIANCE WARRANTY This quality product is warranted to be free from manufacturer’s defects in material and workmanship, provided that the unit is used under the normal operating conditions intended by the manufacturer. This warranty is available only to the person to whom the unit was originally sold by Danby Products Limited (Canada) or Danby Products Inc. (U.S.A.) (hereafter “Danby”) or by an authorized distributor of Danby, and is non-transferable. TERMS OF WARRANTY Plastic parts, are warranted for thirty (30) days only from purchase date, with no extensions provided. First Year During the first twelve (12) months, any functional parts of this product found to be defective, will be repaired or replaced, at warrantor’s option, at no charge to the ORIGINAL purchaser. To obtain Danby reserves the right to limit the boundaries of “In Home Service” to the proximity of an Authorized Service Depot. Any app liance Service requiring service outside the limited boundaries of “In Home Service” , it will be the consumer’s responsibility to transport the appliance (at their own expense) to the original retailer (point of purchase) or a service depot for repair. See “Boundaries of In Home Serv ice” below. Contact your dealer from whom your unit was purchased, or contact your nearest authorized Danby service depot, where service must be performed by a qualified service technician. If service is performed on the units by anyone other than an authorized service depot, or the unit is used for commercial appli cation, all obligations of Danby under this warranty shall be void. Boundaries of If the appliance is installed in a location that is 100 kilometers (62 miles) or more from the nearest service center your unit must be In Home Service delivered to the nearest authorized Danby Service Depot, as service must only be performed by a technician qualified and certif ied for warranty service by Danby. Transportation charges to and from the service location are not protected by this warranty and are t he responsibility of the purchaser. Nothing within this warranty shall imply that Xxxxx will be responsible or liable for any spoilage or damage to food or other c ontents of this appliance, whether due to any defect of the appliance, or its use, whether proper or improper.

  • WARRANTY – SERVICES The Contractor warrants and represents that all services to be provided the City under the Contract will be fully and timely performed in a good and workmanlike manner in accordance with generally accepted industry standards and practices, the terms, conditions, and covenants of the Contract, and all applicable Federal, State and local laws, rules or regulations.

  • Qualified Service Contracts - Rev Proc. 97-13. A Service Contract is considered to contain termination penalties if the termination limits the Recipient’s right to compete with the Service Provider, requires the Recipient to purchase equipment, goods or services from the Service Provider, or requires the Recipient to pay liquidated damages for cancellation of the Service Contract. Another contract between the Service Provider and the Recipient (for example, a loan or guarantee by the Service Provider) is considered to create a contract termination penalty if that contract contains terms that are not customary or arm’s length that could operate to prevent the Recipient from terminating the Service Contract. A requirement that the Recipient reimburses the Service Provider for ordinary and necessary expenses, or restrictions on the hiring by the Recipient of key personnel of the Service Provider are not treated as contract termination penalties. If the Recipient chooses to apply the following safe harbors, a Service Contract is a Qualified Service Contract if entered into before (and not materially modified after) August 18, 2017 and all of the following conditions are satisfied:

  • Maintenance and Warranty Service Reports The report shall include the name of the Authorized User and all of the information in Section 2.24.1 and be submitted electronically in Microsoft Excel 2010 or newer version unprotected, via e-mail to the attention of the OGS Contract Administrator.

  • Qualified Service Contracts A Service Provider includes any person that is a Related Party to the Service Provider and the phrase “Chief Executive Officer” includes a person with equivalent management responsibilities.

  • Service Schedule The Agency shall provide Services in accordance with the times and days of the week set forth in the Scope of Service (Attachment “A”), unless otherwise approved by the Recipient in writing. In addition, a method for providing 24-hour on-call access shall be published and made accessible to the Consumers and other Service providers.

  • Covered Contracts and Contractors If the Contract exceeds $100,000 and the Contractor employed more than 40 full-time employees on a single working day during the previous 12 months in Minnesota or in the state where it has its principle place of business, then the Contractor must comply with the requirements of Minnesota Statute § 363A.36 and Minnesota Rule Parts 5000.3400-5000.3600. A Contractor covered by Minnesota Statute § 363A.36 because it employed more than 40 full-time employees in another state and does not have a certificate of compliance, must certify that it is in compliance with federal affirmative action requirements.

  • AIN Selective Carrier Routing for Operator Services, Directory Assistance and Repair Centers 4.3.1 BellSouth will provide AIN Selective Carrier Routing at the request of <<customer_name>>. AIN Selective Carrier Routing will provide <<customer_name>> with the capability of routing operator calls, 0+ and 0- and 0+ NPA (LNPA) 555-1212 directory assistance, 1+411 directory assistance and 611 repair center calls to pre-selected destinations.
