WEBSITE AND SERVICES. The Website and Services are services made available by AUTOMOTIVE SPECIALTY TOOL, LLC. The company, through its website, serves as a transaction clearinghouse for automotive tool rentals and purchase, bringing together borrowers, sellers, buyers, and lenders.
WEBSITE AND SERVICES. Affiliates will promote ▇▇▇.▇▇▇▇▇▇▇.▇▇▇ – website uptime and performance monitoring service. The website operates as SaaS (Software as a Service) model and sells monthly or yearly subscription packages. All payouts are executed through PayPal unless we’ve made a different agreement with specific affiliates. Affiliates will receive 30% commission of the monthly or yearly subscription of the referral for the entire lifetime of the subscription. Commissions are only earned on successful transactions. Any transactions that result in chargebacks or refunds will not be paid out. Example: a customer who was forwarded to Uptimia by an affiliate buys a yearly $900 subscription package. A customer uses Uptimia services for 5 years. Every year, maximum 7 days after subscription renewal, affiliate will receive a payout of $270. The total payout amount over a customer lifetime will be $1350. Affiliates must earn at least $150 USD in commissions to qualify for payment. We reserve the right to hold back payouts for as long as necessary in the event Uptimia wishes to review specific referrals, commissions, or anything else related to your account. Affiliates work as independent contractors and are not employees of JJ Online GmbH. • Bidding on PPC keywords that were not approved by our affiliate team. • Using strategies that we deem as “spammy”. • Not disclosing your affiliate relationship with your audience with reasonable means. • Disguising your affiliate link as a coupon or deal link. • Posting your link on coupon & deal websites. We do not allow affiliates marketing on coupon or deal sites where the affiliate link is being disguised as a coupon or deal. We reserve the right to blacklist specific domains of coupon sites and disqualify any traffic, signups, or commissions that are generated from these sites. Affiliates must get written permission before running PPC campaigns with keywords that might compete with Uptimia PPC campaigns. You can simply reach out to your affiliate manager for permission to run PPC campaigns and include the keywords you intend to bid on. We do not allow bidding on Uptimia-branded keywords.
WEBSITE AND SERVICES. Cheating or Illegal Behaviour The Game may only be used for lawful purposes and in a lawful manner. You agree to comply with all applicable laws, statutes, and regulations regarding the Game and any bets placed on or via the Game. All bets must be placed through the user interface provided on Garilla Poker. We reserve the right, in our sole discretion, to prohibit any player from participating in any and all Games of Garilla Poker. We may, where situations warrant, freeze the chips, void bets, suspend or terminate the account of any player suspected of cheating in any form (which includes, without limitation, collusion or the exploitation of faults in software or the Website). Some of the links on the Website may be "affiliate links". This means if you click on the link and purchase an item, Deep Longevity may receive an affiliate commission. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any businesses or individuals or the content of their resources.   • Software and Services Vendor warrants that for twelve (12) months following the acceptance of the total system, the Developed Software (and associated documentation) to be delivered to Customer hereunder shall be free from significant programming errors and from defects in workmanship) and materials; shall conform to the performance capabilities, characteristics, specifications, functions and other descriptions and standards applicable thereto as set forth in the Purchase Order or attachments; and that, in general, the services to be performed by Vendor shall be performed in a timely and professional manner by qualified technicians totally familiar with such Developed Software. In the event that defects are discovered during the warranty period, Vendor shall promptly remedy such defects at no additional expense to Customer.

  • Data Services In lieu of any other rates or discounts, the Customer will receive a discount equal to 15% for the following Data Services: Access: Standard VBS3 Guide local loop charges for DS-1 Access Service.

  • Beta Services From time to time, We may invite You to try Beta Services at no charge. You may accept or decline any such trial in Your sole discretion. Beta Services will be clearly designated as beta, pilot, limited release, developer preview, non-production, evaluation or by a description of similar import. Beta Services are for evaluation purposes and not for production use, are not considered “Services” under this Agreement, are not supported, and may be subject to additional terms. Unless otherwise stated, any Beta Services trial period will expire upon the earlier of one year from the trial start date or the date that a version of the Beta Services becomes generally available. We may discontinue Beta Services at any time in Our sole discretion and may never make them generally available. We will have no liability for any harm or damage arising out of or in connection with a Beta Service.

  • Support and Services ISD and HC agree to the following conditions: A. HC agrees to the following for both the mathematics and English language arts courses: i. To share data and provide feedback regarding student success on entry‐level college mathematics and English language arts courses; ii. To train advisors to recognize and honor course(s) on school district transcripts; iii. To ensure that eligible students are counseled directly into college level mathematics, English language arts, and all other courses that require mathematics and English language arts college readiness; B. HC agrees to the following for the college preparatory mathematics courses: i. To provide the Student Learning Outcomes; ii. To provide the syllabi for the courses being offered. iii. To provide regular meetings between the HC faculty and ISD faculty teaching the course. C. HC agrees to the following for the college preparatory English language arts course: i. To provide the Student Learning Outcomes for Integrated Reading/Writing (INRW 0303) course; ii. To provide the syllabi, including types of essays required (i.e., expository, persuasive, and critical analysis). iii. To provide regular meetings between the HC faculty and ISD faculty teaching the course. D. ISD agrees to the following for both the mathematics and English language arts courses: i. To provide highly qualified instructors for the courses being taught; ii. To identify students who are not college ready as stated in HB 5; iii. To provide professional development and resources required to teach the mathematics and English language arts courses; iv. To identify successful completion of the course(s) on the student transcripts as determined by the State of Texas PEIMS number; v. To provide curriculum for the course that is consistent with HC Student Learning Outcomes; vi. To provide assistance with admission, enrollment, and financial aid applications; E. ISD agrees to the following for the college preparatory mathematics course: i. To teach a math course designed to focus on college mathematics (algebraic or non‐algebraic) concepts; ii. Require students to meet college readiness scores on the TSI Assessment; iii. To meet regularly with HC faculty. F. ISD agrees to the following for the college preparatory English language arts course: i. To teach an integrated Reading and Writing course that focuses on critical reading and college‐level writing; ii. Require students to meet college readiness scores on the TSI Assessment; iii. To meet regularly with HC faculty.

  • Support Services Rehabilitation, counselling and EAP’s. Support is strictly non- punitive, and can be accessed at anytime (self-identification of the need for help is strongly encouraged).
