Wholesaling. Wholesaling of Carnival products is strictly prohibited without the express prior written consent of Carnival. For purposes of this Policy, “wholesaling” means (i) the sale of Carnival products by Travel Agency to another retail Travel Agency for the purpose of resale to consumers or (ii) the sale of Carnival products by Travel Agency directly to a consumer on behalf of another retail Travel Agency. For purposes of this Policy, a retail Travel Agency is an entity meeting one or more of the following criteria:

Wholesaling. The Company does not accept any wholesale business. The Intermediary must adhere to this requirement, as the Company does not wish to attract business from certain intermediaries. The Intermediary confirms that all business offered to the Company is from the Intermediary's own clients and not from any other broker or introducer.
Wholesaling. Retailer acknowledges that Kincaid is xxx xxxy person entitled to wholesale, or to authorize the wholesaling of, Kincaid Proxxxxx xnd the Kincaid Homx Xxxxxshings Retail Outlet Program is intended to promote the retail sale of Products to the general public. Accordingly, Retailer covenants and agrees that all Products shall be marketed by it at retail to the general public through operation of Retailer's Outlet in the ordinary and usual course of business and that Retailer shall not sell, assign, transfer or otherwise distribute Products to any persons or entity in a wholesale manner or in any other manner as would facilitate the further distribution or resale thereof in connection with the business of any person or entity acquiring the same.
Wholesaling. The Licensee's business includes a wholesale business catering to the needs of small businesses. Product selection, packaging and pricing will reflect appropriate merchandising for these small businesses.

  • Marketing Vendor agrees to allow TIPS to use their name and logo within the TIPS website, database, marketing materials, and advertisements unless Vendor negotiates this term to include a specific acceptable-use directive. Any use of TIPS’ name and logo or any form of publicity, inclusive of press release, regarding this Agreement by Vendor must have prior approval from TIPS which will not be unreasonably withheld. For marketing efforts directed to TIPS Members, Vendor must request and execute a separate Joint Marketing Disclaimer, at xxxxxxxxx@xxxx-xxx.xxx, before TIPS can release contact information for TIPS Member entities for the purpose of marketing your TIPS contract(s). Vendor must adhere to strict Marketing Requirements once a disclaimer is executed. The Joint Marketing Disclaimer is a supplemental agreement specific to joint marketing efforts and has no effect on the terms of the TIPS Vendor Agreement. Vendor agrees that any images, photos, writing, audio, clip art, music, or any other intellectual property (“Property”) or Vendor Data utilized, provided, or approved by Vendor during the course of the joint marketing efforts are either the exclusive property of Vendor, or Vendor has all necessary rights, license, and permissions to utilize said Property in the joint marketing efforts. Vendor agrees that they shall indemnify and hold harmless TIPS and its employees, officers, agents, representatives, contractors, assignees, designees, and TIPS Members from any and all claims, damages, and judgments involving infringement of patent, copyright, trade secrets, trade or services marks, and any other intellectual or intangible property rights and/or claims arising from the Vendor’s (including Vendor’s officers’, employees’, agents’, Authorized Resellers’, subcontractors’, licensees’, or invitees’) unauthorized use or distribution of Vendor Data and Property.

  • Products and Services General Information The Vendor Agreement (“Agreement”) made and entered into by and between The Interlocal Purchasing System (hereinafter “TIPS”) a government cooperative purchasing program authorized by the Region 8 Education Service Center, having its principal place of business at 0000 XX Xxx 000 Xxxxx, Xxxxxxxxx, Xxxxx 00000 and the TIPS Vendor. This Agreement consists of the provisions set forth below, including provisions of all attachments referenced herein. In the event of a conflict between the provisions set forth below and those contained in any attachment, the provisions set forth shall control unless otherwise agreed by the parties in writing and by signature and date on the attachment. A Purchase Order (“PO”), Agreement or Contract is the TIPS Member’s approval providing the authority to proceed with the negotiated delivery order under the Agreement. Special terms and conditions as agreed between the Vendor and TIPS Member should be added as addendums to the Purchase Order, Agreement or Contract. Items such as certificate of insurance, bonding requirements, small or disadvantaged business goals are some, but not all, of the possible addendums.

  • Transportation Transportation expenses include, but are not limited to, airplane, train, bus, taxi fares, rental cars, parking, mileage reimbursement, and tolls that are reasonably and necessarily incurred as a result of conducting State business. Each State agency shall determine the necessity for travel, and the mode of travel to be reimbursed.

  • Medical Services We do not Cover medical services or dental services that are medical in nature, including any Hospital charges or prescription drug charges.

  • Distributors In addition to direct sales to Clients, Supplier grants Accenture: (i) the right to resell Products and Services to a third-party distributor (“Distributor”) for resale to Client or to a financing company for leasing to Client.
