Withdrawal by Operation of Law. Should the participation of any Member to this Agreement be decided by the courts to be illegal or in excess of that Member’s authority or in conflict with any law, the validity of the Agreement as to the remaining Members shall not be affected thereby.

Withdrawal by Operation of Law. Should the participation of any Member be decided by the courts to be illegal or in excess of that Member’s authority or in conflict with any law, such Member must withdraw no later than the date such determination becomes final and must pay its proportionate share of the matters set forth in Section 7.2.1.
