Within FORTY. FIVE (45) days of the receipt by the City of a request for a Final Acceptance Certificate, the City shall undertake an inspection of the Municipal Improvements, or portion thereof, and the City shall within the said FORTY-FIVE (45) days advise the Developer in writing of any deficiencies in relation to the particular Municipal Improvements, or portion thereof, ordinary wear and tear excepted, (i.e. any deficiencies referred to by the Developer and any additional deficiencies); provided, that the provisions of Paragraph 9.4 shall also apply to any request for the issuance of a Final Acceptance Certificate.

Within FORTY. Eight [48] hours, the Parties shall consult with each other in good faith and use all reasonable endeavours to agree appropriate terms to mitigate the effects of the Force Majeure Event and facilitate the continued performance of this Agreement.
