Work Processes and Operations. In the event that the Hospital is considering introducing any non-minor changes to work processes and/or operations, excluding those required by immediate patient needs, which will affect the quality/quantity of patient care and/or work terms and conditions of RPN s within the Bargaining Unit, the Hospital will notify the Union as soon as is practicable and reasonable prior to the introduction of such changes. A description of the changes to be carried out, with disclosure of immediately foreseeable effects on employees, will be provided with the notice. The Committee will meet to discuss the changes and recommend measures to protect employees from adverse eff ects, if any, that may result from the changes to be implemented. The changes will not be implemented prior to the first meeting. The parties acknowledge that every eff ort will be made to meet prior to the changes being impl emented but that inability to meet will not prevent implementation of changes. The parties will still meet to review the changes and make recommendations on their impact even if implementation has proceeded. The parties further agree that it is in the interest of both the Hospital and the Union to discuss threes issues well in advance of implementation and in time to adopt any recommendations that have been agreed to.

Within two (2) weeks of receiving the notice, the JOINT PROFESSIONAL COMMITTEE will meet to review the changes. The Committee will meet to discuss the changes and recommend measures to protect employees from adverse effects, if any, of the changes to be implemented. The changes will not be implemented prior to the first meeting or two (2) weeks, whichever is the earlier. The parties acknowledge that every effort will be made to meet prior to the changes being implemented but that inability to meet will not prevent implementation of changes. The parties will still meet to review the changes and make recommendations on their impact even if implementation has proceeded. The parties further agree that it is in the interest of both the Hospital and the Union to discuss these issues well in advance of implementation and in time to adopt any recommendations that have been agreed to. The JOINT PROFESSIONAL COMMITTEE will meet within three (3) months following the implementation of the changes, at the request of either party, to evaluate the changes. WORKLOAD AND ASSIGNMENT The JOINT PROFESSIONAL COMMITTEE will meet once per month to discuss, investigate and resolve any issues raised by an individual or a group of nurses, dieticians and/or therapists on a without prejudice basis with respect to:

  • Operations Matters In the conduct its business and operations, Pledgor shall, and shall cause each of the Companies to: (i) maintain books and records, separate from those of any other Person; (ii) maintain its bank accounts and all its other assets separate from those of any other Person; (iii) hold regular member, partnership or shareholder meetings, as appropriate, to conduct its business, and observe all other limited liability company, partnership or corporate formalities, as the case may be; (iv) hold itself out to creditors and the public as a legal entity separate and distinct from any other Person; (v) prepare separate financial statements, or if part of a consolidated or combined group, then it shall be shown as a separate member of such group, including in a footnote(s) to the relevant financial statements disclosing its separate existence and identity and the existence of its own assets; (vi) allocate and charge fairly and reasonably any common employee or overhead shared with Affiliates; (vii) transact all business with Affiliates on an arm's-length basis and to enter into transactions with Affiliates on an arm's-length basis; (viii) conduct business in its own name; (ix) with regard to each Company, maintain a sufficient number of employees in light of such Company's contemplated business operations; (x) correct any misunderstanding regarding its separate identity of which Pledgor has actual knowledge; (xi) not identify itself in writing as a division of any other Person; and (xii) maintain adequate capital in light of its contemplated business operations.

  • Maintenance and Operation Member-Generator agrees to maintain their system and facilities in accordance with applicable manufacturer's recommended maintenance schedule and standard prudent engineering practices. Member-Generator covenants and agrees to operate their system, facilities and equipment so as to minimize the likelihood for a malfunction or other disturbance, damaging or otherwise affecting or impairing Cooperative’s electrical system. Member-Generator shall comply with all applicable laws, regulations, zoning, building codes, safety rules and other environmental regulations or restrictions applicable to the design, installation, operation and maintenance of the Member-Generator's System.

  • STANDARDS OF MANAGEMENT AND OPERATIONS In performing its obligations hereunder, during the term of this ESA, the Competitive Supplier shall exercise reasonable care to assure that its facilities are prudently and efficiently managed; that it employs an adequate number of competently trained and experienced personnel to carry out its responsibilities; that it delivers or arranges to deliver a safe and reliable supply of such amounts of electricity to the Point of Delivery as are required under this ESA; that it complies with all relevant industry standards and practices for the supply of electricity to Participating Consumers; and that, at all times with respect to Participating Consumers, it exercises good practice for a Competitive Supplier and employs Commercially Reasonable skills, systems and methods available to it.

  • Management and Operations of Business Except as otherwise expressly provided in this Agreement, all powers to control and manage the business and affairs of the Partnership shall be vested exclusively in the General Partner; the Limited Partner shall not have any power to control or manage the Partnership.

Safe Operations include the application and enforcement of rules, procedures and protocols that are intended to ensure the safety of personnel operating or performing work or tests on transmission facilities.
