Working Teams. The RHC may use the following staff Working Teams to inform and support the RHC: • Technical Working Team to provide objective technical feedback regarding project and policy proposals. • Communications Working Team to develop clear and coordinated communications around project and policy proposals and funding recommendations. Each voting member Jurisdiction that is a member under Section 4.A of this Agreement will assign at least one staff member to participate on each Working Team. The RHC may create additional Working Teams or dissolve Working Teams in accordance with Section 4.I of this Agreement.

Working Teams. (a) The Persons set forth on Schedule 2.1 (a) will constitute the "Working Teams". Each party hereto may make additions to the Working Teams by providing notice to the other party. The Working Teams will be responsible for managing the implementation of this Agreement, including formulating a plan with respect to the following functional areas: (i) Billing and IT infrastructure; (ii) Customer service and Customer communications; (iii) Customer residence servicing activities (such as equipment servicing calls and equipment upgrade activities); (iv) Accounting and financial operations; (v) Sales and marketing; and (vi) Customer retention and churn minimization tactics. (b) Each party shall designate, within three (3) Business Days of the date hereof, one person to coordinate all contacts and communications between the parties regarding the implementation of this Agreement (the "Contact Persons"). (c) The Working Teams shall, in good faith, attempt to resolve any disputes regarding the specific operations under, and timing or method of implementation or interpretation of this Agreement. If the Working Teams cannot reach a resolution within five (5) Business Days from the day a dispute first arises, the dispute shall be referred to the Contact Persons for resolution. If the Contact Persons cannot reach an agreement within five (5) Business Days of a dispute being referred to them, such dispute shall be submitted to the Bankruptcy Court in accordance with Section 6.4, provided, however, that in the event that such dispute is a financial dispute, such dispute shall be submitted to the Referee in accordance with Section 6.5. Pegasus and DIRECTV acknowledge the necessity for such disputes to be adjudicated on an expedited basis and agree that they will jointly request that the Bankruptcy Court schedule a hearing on such matters on a shortened emergency basis and seek similar expedited treatment from the Referee.

Working Teams. From time to time, the JDC or JCC may establish and delegate duties to other committees, sub committees or directed teams (each, a “Working Team”) on an “as needed” basis to oversee particular projects or activities, which delegations shall be reflected in the minutes of the meetings of the applicable committee. Such Working Teams may be established on an ad hoc basis for purposes of a specific project or on such other basis as the JDC or JCC, as the case may be, may determine, and shall be constituted and shall operate as the establishing committee may determine; provided that each Working Team shall have substantive representation from each Party and decision making shall be by consensus, with each Party’s representatives on the applicable Working Team collectively having one vote on all matters brought before the Working Team. Each Working Team and its activities shall be subject to the oversight, review and approval of, and shall report to, the committee that established such Working Team. In no event shall the authority of the Working Team exceed that specified for the relevant Committee in this Article 3.

Working Teams. An interdisciplinary team will be set up for each one of the main actions. Team Leaders, nominated and accepted by respective institutions responsible for individual activities and confirmed by the Montenegrin national and local authorities and MAP, will be directly responsible for the formulation and implementation of respective activities. They will be national experts, acting under the guidance and with the assistance of the National Project Co-ordinator and MAP RACs. Other members of the national teams (national experts) participating in the Project will be proposed by relevant ministries, municipalities and other national / local level institutions, and engaged through the Montenegrin authorities. They will act in accordance with the respective Technical Specification for the activity, endorsed by the relevant RACs, and in accordance with the respective TOR for the consultant.

Working Teams. Responsible for defining the project scope to include the creation of project charters, timelines, key performance indicators (KPIs), and project costs. These teams will engage with subject matter experts and work with stakeholders to gain approvals and funding as required.

Working Teams. Each Party shall appoint members to working teams (“Working Teams”), such as a research team and a development team. The Working Teams will be responsible for delivering a plan for research and/or development activities to the JSC for their review, modification and approval pursuant and subject to Section 7.2(d). Further, any issues that are not resolved by the Working Teams shall be submitted to the JSC for resolution pursuant and subject to Section 7.2(d). The Working Teams shall be cooperative bodies that will work together and have meetings as appropriate.

Working Teams. From time to time, each Committee may establish and delegate duties to other subcommittees or working teams (each, a “Working Team”) as it deems necessary to achieve the objectives of this Agreement; provided that: (a) each such Working Team shall have equal representation from each Party; (b) the activities of such Working Team shall be subject to the oversight, review and approval of, and shall report to, the Committee that established such Working Team; and (c) in no event shall the authority of any such Working Team exceed that specified for the Committee that established such Working Team under this Agreement.

Working Teams. Teams may work concurrently, seriatim or some combinations, as determined by the Steering Team and the Requirements Phase work.

Working Teams. Deliverable: ChannelPoint will deliver to GEFA the detailed requirements for implementing enhanced versions of the ChannelPoint Exchange (including Commerce) and Insure products supporting the requirements of GEFA and the insurance industry with respect to the Products (the "TIER 2 DELIVERABLE"). Timing: ChannelPoint will make reasonable efforts to deliver the Tier 2 Deliverable to GEFA no later than [...***...] after the date on which the Tier 1 Deliverable was delivered to GEFA. Both parties recognize the deliverable date will be subject to prioritization and scoping of the high level requirements. TIER 3: BUILD Objectives: ChannelPoint's build and implementation for GEFA of enhanced versions of the ChannelPoint Exchange (including Commerce) and Insure products complying with the requirements set forth in the Tier 2 Deliverable. * CONFIDENTIAL TREATMENT REQUESTED Deliverable: ChannelPoint will deliver to GEFA enhanced versions of the ChannelPoint Exchange (including Commerce) and Insure products complying with the requirements set forth in the Tier 2 Deliverable and will perform the necessary installation services at the licensed GEFA sites to implement such enhanced versions of the ChannelPoint Exchange (including Commerce) and Insure products (the "TIER 3 DELIVERABLE").

Working Teams. The Parties will form a working team for each Research Plan comprising at least the project leader for the Research Plan (who will be a Shire employee) and the Sangamo team leader (who will be a Sangamo employee) and one or more representatives from each of Shire and Sangamo, which team will stay in active communication about activities taking place and Results arising under the respective Research Plan. This team shall confer regularly to ensure close cooperation and exchange of information between the Parties as Sangamo fulfills its responsibilities under the Research Program. The working teams will not have decision making authority, but will facilitate the day-to-day implementation of the Research Plans. If the amount of time requested by Shire with respect to such participation on the working teams exceeds the maximum number of hours Sangamo is obligated to spend on such activity under the applicable Research Plan, then Shire shall reimburse Sangamo’s FTE costs (at the FTE Rate) and external costs of such participation (with no xxxx-up thereon).
