Xx Agency. Except as otherwise provided explicitly herein, in performing their respective obligations under this Agreement, neither Party is acting, or is authorized to act, as the other Party’s agent.
Xx Agency. Except as between Issuer and its agents, no Party is an agent, representative or partner of any other Party. No Party shall have any right, power or authority to enter into any agreement for or on behalf of, or to incur any obligation or liability for, or to otherwise bind, any other Party, except as set forth in Schedule B in order for DriveWealth to perform the Services, and except as provided in a separate agreement governing the transfer agency services provided by the transfer agent for Issuer. This Agreement shall not be interpreted or construed to create an association, joint venture, co-ownership, co-authorship, or partnership between the Parties or to impose any partnership obligation or liability upon any Party.
Xx Agency. Nothing contained herein or done hereunder shall be construed as establishing any agency, partnership or joint venture relationship between the parties for any purpose whatsoever.
Xx Agency. Nothing in this Agreement shall be deemed to have created, implied or otherwise treated us as your agent, trustee or other representative, unless it is provided otherwise in this Agreement.
Xx Agency. Neither Party is an agent, representative or partner of the other Party. Xx Agency. Subject to the terms, conditions, express representations and warranties provided in this Agreement, Agency agrees to indemnify, save and hold harmless Client from any and all damages, liabilities, costs, losses or expenses arising out any breach of Agency’s representations and warranties made herein, except in the event any such claims, damages, liabilities, costs, losses or expenses arise directly as a result of gross negligence or misconduct of Client provided that (a) Client promptly notifies Agency in writing of the claim;
Xx Agency. For the avoidance of doubt, BSM is entering into this Agreement as principal and not as agent for any other BSM Technologies Inc. company. Subject to any permitted Assignment under Section 17.10
Xx Agency. Except as provided in this Agreement, no provision of this Agreement shall be construed to constitute a Member, in the Member's capacity as such, the agent of any other Member.
Xx Agency. Nothing contained in this Tenant Work Letter shall make or constitute Tenant as the agent of Landlord.
Xx Agency. Local Organizing Club is not the agent of USA-WSWS. There is no intent to create an agency, partnership or joint venture relationship between USA-WSWS and Local Organizing Club of the Event. It is understood that Local Organizing Club is not employed by USA-WSWS and therefore USA- WSWS shall not provide worker’s compensation coverage or any other benefits that would be provided to USA-WSWS employees.
