Xx Modification. This Agreement may not be modified in any manner except in a written document signed by both Parties.
Xx Modification. This Memorandum has been executed for purposes of recordation only and shall not modify the provisions of the Master Lease, including the single, indivisible and integrated nature of the Master Lease with respect to the Leased Property, including the Subject Property, or the terms and conditions of any option contained therein. In the event of any inconsistency or conflict between the provisions of this Memorandum and the provisions of the Master Lease, the provisions of the Master Lease shall govern and prevail.
Xx Modification. Except as expressly set forth herein, nothing contained herein shall be deemed to constitute a waiver of compliance with any term or condition contained in the RIFA or any of the other Transaction Documents or constitute a course of conduct or dealing among the parties. Except as expressly stated herein, the Investor reserves all rights, privileges and remedies under the Transaction Documents. Except as amended or consented to hereby, the RIFA and the other Transaction Documents remain unmodified and in full force and effect. All references in the Transaction Documents to the RIFA shall be deemed to be references to the RIFA, as modified hereby. Nothing contained in this Amendment shall be deemed or construed to be a satisfaction, reinstatement, novation or release of the RIFA or any other Transaction Document. This Amendment shall constitute a “Transaction Document” under and as defined in the RIFA and shall be subject to the terms and provisions therein regarding Transaction Documents.
Xx Modification. This Agreement constitutes the entire agreement of the parties relative to this subject, and supersedes all proposals or other prior agreements, oral or written, and all other communications between the parties relating to this subject. Any reproduction of this Agreement by reliable means shall be considered an original of this document. This Agreement may not be modified except as set forth in Section 8.11 or by the mutual written consent of the parties. Oral collateral agreements do not exist. No approval, consent or waiver shall be enforceable unless signed by the granting party. Failure to insist on strict performance or to exercise a right when entitled does not prevent a party from doing so later for that breach or a future one.
Xx Modification. The provisions of this Article XII may not be modified without the written consent of Investor Member and any purported modification to which Investor Member is not a party shall be null and void.
Xx Modification. The Agreement may not be modified, altered, or changed, except upon written consent of Executive and a duly authorized representative of the Company.
Xx Modification. No modification of this Amendment or of any agreement referred to herein shall be binding or enforceable unless in writing and signed on behalf of the party against whom enforcement is sought.
Xx Modification. Except as expressly set forth herein, nothing contained herein shall be deemed to constitute a waiver of compliance with any term or condition contained in the Credit Agreement or any of the other Loan Documents or constitute a course of conduct or dealing among the parties. Except as expressly stated herein, the Agent and Lenders reserve all rights, privileges and remedies under the Loan Documents. Except as amended or consented to hereby, the Credit Agreement and other Loan Documents remain unmodified and in full force and effect. All references in the Loan Documents to the Credit Agreement shall be deemed to be references to the Credit Agreement as modified hereby. This Agreement shall constitute a Loan Document.
Xx Modification. All terms and conditions of the Purchase Agreement, together with any and all exhibits thereto, shall remain unmodified and are in full force and effect and enforceable in accordance with their terms. h.
