Xx Xxxxxx, Seaview, Telluride and 1100 Vermont. Each of the Xxxxxx Parties covenants, agrees, warrants, and represents that from and after the Closing Date, (i) it shall not, and shall take such action to cause each of the Xxxxxx Controlled Affiliates not to, in any manner, directly or indirectly, hinder, delay, frustrate, impede, object to, obstruct or prevent Swedbank or its Affiliates, successors or assigns from commencing, pursuing, consummating, and completing any Enforcement Action that Swedbank or its Affiliates, successors or assigns may determine and elect to pursue, in its sole and absolute discretion, with respect to the Xx Xxxxxx Project, the Seaview Project, the Telluride Project or the 1100 Vermont Project or any loans held by Swedbank secured by any of the Xx Xxxxxx Project, the Seaview Project, the Telluride Project or the 1100 Vermont Project, and (ii) it shall take such action, and shall cause each of the Xxxxxx Controlled Affiliates to take such action, to cooperate, in good faith, with Swedbank or its Affiliates, successors and assigns in connection with any Enforcement Action that Swedbank or its Affiliates, successors and assigns may determine and elect to pursue, in its sole and absolute discretion, with respect to the Xx Xxxxxx Project, the Seaview Project, the Telluride Project or the 1100 Vermont Project or any loans held by Swedbank or its Affiliates, successors and assigns secured by any of the Xx Xxxxxx Project, the Seaview Project, the Telluride Project or the 1100 Vermont Project (including, but not limited to, in the case of the Xx Xxxxxx Project, consenting to a stipulated judgment of foreclosure in form agreed to by the Parties hereto); provided, however, that notwithstanding the foregoing, the Xxxxxx Parties shall not be required by the foregoing to take, or refrain from taking, any action that could breach or violate, or cause any Affiliate to breach or violate, (i) any existing contractual obligations that the Xxxxxx Parties or their Affiliates owe to any unrelated third party, (ii) any obligations the Xxxxxx Parties or their Affiliates owe to unrelated third parties provided for under applicable law or (iii) any fiduciary duties that the Xxxxxx Parties or their Affiliates may owe to any equity holder in any entity in which any Xxxxxx Party or its Affiliate holds an interest.   • SHOP XXXXXXX The Shop Xxxxxxx shall be a County employee as selected by the Union. A list of shop stewards will be kept current and sent by the Union to each department head and to Human Resources. Duties required by the Union of its stewards, except attendance at meetings with the County, supervisory personnel and aggrieved employees arising out of a grievance already initiated by an employee under Article 14 hereof, shall not interfere with their or other employees, regular work assignments as employees of the County. The shop xxxxxxx, or their designee, involved with a particular grievance must be identified at Step 1 of the grievance procedure and will be designated as the only bargaining unit employee who will be able to gather information pertaining to that particular grievance. The Union will make reasonable efforts to control the amount of investigative time spent between the shop xxxxxxx and the aggrieved employee. Meetings scheduled with management and other proper investigative procedures, and attendance at meetings specified in Steps 1 and 2 of the grievance procedure shall be considered hours worked for compensation purposes to the extent such meetings occur during the normal hours of work, and not otherwise. In order to use union leave for this purpose, Shop Stewards must notify the supervisor/department head of meetings and other commitments at the time these are scheduled. Attendance at meetings specified in Step 3 of the grievance procedure shall be considered hours worked during regularly scheduled business hours of the County for the xxxxxxx involved, witnesses and the grievant. The County shall not be liable for any overtime as a result of the meeting. Witnesses and the shop xxxxxxx involved shall be granted leave with pay to the extent their presence at the proceedings is required. If it is a discharge case the grievant shall not be paid except as provided in a remedy awarded.
