Common use of XXX Compensation Clause in Contracts

XXX Compensation. 18.1 Rates for message distribution service provided by BellSouth for New Phone are as set forth in Exhibit A to this Attachment. 18.2 Rates for data transmission associated with message distribution service are as set forth in Exhibit A to this Attachment. 18.3 Data circuits (private line or dial-up) will be required between BellSouth and New Phone for the purpose of data transmission. Where a dedicated line is required, New Phone will be responsible for ordering the circuit, overseeing its installation and coordinating the installation with BellSouth. New Phone will also be responsible for any charges associated with this line. Equipment required on the BellSouth end to attach the line to the mainframe computer and to transmit successfully ongoing will be negotiated on a case by case basis. Where a dial-up facility is required, dial circuits will be installed in the BellSouth data center by BellSouth and the associated charges assessed to New Phone. Additionally, all message toll charges associated with the use of the dial circuit by New Phone will be the responsibility of New Phone. Associated equipment on the BellSouth end, including a modem, will be negotiated on a case by case basis between the Parties. 18.4 All equipment, including modems and software, that is required on the New Phone end for the purpose of data transmission will be the responsibility of New Phone.

Where a dedicated line is required, New Phone ICG will be responsible for ordering the circuit, overseeing its installation and coordinating the installation with BellSouth. New Phone ICG will also be responsible for any charges associated with this line. Equipment required on the BellSouth end to attach the line to the mainframe computer and to transmit successfully ongoing will be negotiated on a case by case basis. Where a dial-up facility is required, dial circuits will be installed in the BellSouth data center by BellSouth and the associated charges assessed to New PhoneICG. Additionally, all message toll charges associated with the use of the dial circuit by New Phone ICG will be the responsibility of New PhoneICG. Where a dedicated line is required, New Phone Pathnet will be responsible for ordering the circuit, overseeing its installation and coordinating the installation with BellSouth. New Phone Pathnet will also be responsible for any charges associated with this line. Equipment required on the BellSouth end to attach the line to the mainframe computer and to transmit successfully ongoing will be negotiated on a case by case basis. Where a dial-up facility is required, dial circuits will be installed in the BellSouth data center by BellSouth and the associated charges assessed to New PhonePathnet. Additionally, all message toll charges associated with the use of the dial circuit by New Phone Pathnet will be the responsibility of New PhonePathnet.
