Common use of Xxxx Pay Clause in Contracts

Xxxx Pay. a. When a project has been completed, you may be offered the ability to receive your payment from the consumer directly via the Xxxx Leads mobile application (“Xxxx Pay”) in one of two ways, either by you requesting payment from a consumer, or by a consumer initiating payment to you. To request payment, you log into your Xxxx Leads App, go to your Lead Details, and click request payment for the appropriate Lead. If a consumer has sent you money for services, you will be able to log into your Xxxx Leads App, select how you wish to be paid (either to your bank account or to a debit card), and the payment will be processed within twenty four (24) hours. You will have sixty (60) days after the consumer submits a payment to collect the payment. Should you opt out of Xxxx Pay (by going to Settings in your App, clicking the Xxxx Pay section and selecting Disable Xxxx Pay) or fail to collect your payment within this sixty day period, you and the consumer will be notified that the payment has been cancelled, and you will need to seek payment from the consumer directly. Xxxx Pay may not be used to charge a Lead fee to a consumer, it may only be used for collecting payment for a won job. b. By participating in Xxxx Pay and agreeing to the Xxxx Leads Terms, you agree that you are accepting payments from Xxxx Leads consumers via Xxxx Pay and that Xxxx Leads is authorized to store your bank account or debit card information for future payments, and that Xxxx Leads may deposit all future payments into your Xxxx Pay account. You further agree that you will not seek payment from the consumer directly where you have received payment from the consumer through Xxxx Pay, and that you will only seek payment for services you have performed or will perform. x. Xxxx Leads, in its sole and absolute discretion, may refuse to approve or may terminate existing enrollments for Xxxx Pay with or without cause or notice, other than any notice required by any applicable law, and not waived herein. Xxxx Leads may ban you from using Xxxx Pay (and the Xxxx Leads services) if we believe you are abusing Xxxx Pay. Xxxx Leads may also cancel a payment request made through Xxxx Pay if such request is improper in Xxxx Leads's reasonable commercial discretion. d. You acknowledge and agree that your payments made through Xxxx Pay are transactions between you and the consumer and not with Xxxx Leads or any of its affiliates. Xxxx Leads is not a party to your payments unless expressly designated as such on the Xxxx Leads website. x. Xxxx Pay may not be used to process a payment, or otherwise transfer money between you and a consumer, that is unrelated to the consumer’s purchase of services from you. You may not use Xxxx Pay to purchase any illegal goods or services or for any other underlying illegal transaction. You agree that you will not use Xxxx Pay to purchase any services or products that violate these Terms, other policies or rules applicable to Xxxx Pay, or applicable law. Failure to comply with these limitations may result in suspension or termination of your use of Xxxx Pay and/or your Xxxx Leads account. f. You agree to release Xxxx Leads, its affiliates, and their agents, contractors, officers and employees, from all claims, demands and damages (actual and consequential) arising out of or in any way connected with a dispute related to Xxxx Pay. You agree that you will not involve Xxxx Leads in any litigation or other dispute arising out of or related to any transaction, agreement, or arrangement in connection with Xxxx Pay. If you attempt to do so, (i) you shall pay all costs and attorneys' fees of Xxxx Leads and its affiliates and shall provide indemnification as set forth below, and (ii) the jurisdiction for any such litigation or dispute shall be limited as set forth in Section X. However, nothing in these Terms waives any rights, claims or defenses that you may have with respect to a payment under an agreement with your method of payment issuer, the card association rules or applicable state and federal laws. g. Payment processing services for Service Professionals are provided by Stripe and are subject to the Stripe Connected Account Agreement, located at xxxxx://xxxxxx.xxx/us/connect-account/legal, which includes the Stripe Terms of Service, located at xxxxx://xxxxxx.xxx/us/legal (collectively, the Stripe Services Agreement). By agreeing to these Terms herein, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of participating in Xxxx Pay through Stripe, you agree to provide Xxxx Leads accurate and complete information about you and your business, and you authorize Xxxx Leads to share it and transaction information related to your use of the payment processing services provided by Stripe. You also authorize Xxxx Leads to pass on information provided by you (e.g. your birthday or the last four digits of your social security number) to Stripe so that Stripe may use it to protect the integrity of your account. h. While we will use commercially reasonable efforts to ensure the security of all credit card and all other personal information, we expressly disclaim any liability for any damage that may result should any information be released to any third parties, and you agree to hold us harmless for any damages that may result therefrom. i. If we determine that your actions or performance may result in returns, chargebacks, claims, disputes, violations of our terms or policies, or other risks to Xxxx Leads or third parties, or any payments to consumers that Xxxx Leads makes, then Xxxx Leads may either charge your method of payment on file with us for such payments, or withhold any payments to you for as long as we determine any related risks to Xxxx Leads or third parties persist. For any amounts that we determine you owe us, we may (i) immediately charge your method of payment; (ii) offset any amounts that are payable by you to us (in reimbursement or otherwise) against any payments we may make to you or amounts we may owe you; (iii) invoice you for amounts due to us, in which case you will pay the invoiced amounts upon receipt; (iv) reverse any credits to your bank account; or (v) collect payment or reimbursement from you by any other lawful means.

Xxxx Pay. a. When a project has been completedIf you sign up for Xxxx Pay, our xxxx payment service, you must have a personal checking account, your xxxx payment account. You may authorize new payments or edit previously authorized payments on a periodic (i.e. nonrecurring payments on merchant charge accounts that vary in amount) or automatic (i.e. recurring fixed monthly mortgage payments) basis. You will need to provide us the name and address of the payee, your account number with the payee and any other information we require to properly debit your account with us and credit your account with the payee. You can only pay payees with addresses within the United States. We reserve the right to refuse to make payments to certain persons, appear to be offered fraudulent or erroneous. If the ability designated payment day falls on a weekend or holiday, it will be paid on the next business day. When you transmit a xxxx payment instruction you authorize us to receive your transfer funds to make the xxxx payment from the consumer directly via checking account you designate. We will process the Xxxx Leads mobile application (“Xxxx Pay”) in one of two waysxxxx payment only to those payees you authorize and have the proper identification. We will not process any xxxx payment if the required transaction information is incomplete. We reserve the right to process your xxxx payment as a corporate check, either by you requesting payment from a consumerdraft check, or by a consumer initiating payment automated clearing house (ACH) transaction and this may change at any point in time. There is no limit on the number of xxxx payments per day. If there are insufficient funds in your account, we may refuse to you. To request make the payment, make the payment and transfer funds from any overdraft protection account you log into have established, or make payment and overdraw your Xxxx Leads App, go account.* It is your responsibility to schedule your Lead Details, and click request payment xxxx payments in a manner that your obligations will be paid on time. You must allow sufficient time for the appropriate Lead. If a consumer has sent you money for servicesmerchant to receive and process your payments, you we cannot guarantee the time that the merchant will be able to log into your Xxxx Leads App, select how you wish to be paid (either to your bank account or to a debit card), and the credit any payment will be processed within twenty four (24) hours. You will have sixty (60) days after the consumer submits a payment to collect the payment. Should you opt out of Xxxx Pay (by going to Settings in your App, clicking the Xxxx Pay section and selecting Disable Xxxx Pay) or fail to collect your payment within this sixty day period, you and the consumer will be notified that the payment has been cancelled, and you will need to seek payment from the consumer directly. Xxxx Pay may not be used to charge a Lead fee to a consumer, it may only be used for collecting payment for a won job. b. Your cancellation or edit request must be entered at least three (3) business days before the consumer directly where you have received date the payment from the consumer through Xxxx Pay, and that you will only seek payment for services you have performed is scheduled to be processed. If we don’t receive your instruction to edit or will perform. x. Xxxx Leads, in its sole and absolute discretion, may refuse to approve or may terminate existing enrollments for Xxxx Pay with or without cause or notice, other than any notice required by any applicable law, and not waived herein. Xxxx Leads may ban you from using Xxxx Pay (and the Xxxx Leads services) if we believe you are abusing Xxxx Pay. For any amounts that we determine you owe us, we may (i) immediately charge your method of payment; (ii) offset any amounts process the transaction. Xxxx Pay. a. When a) Using Xxxx Pay. As used in this Agreement, the term "Payee" means the person or entity to whom you wish a project has been completedxxxx payment to be directed; "Payment Instruction" means the information provided by you to us for a xxxx payment to be made to the Payee (such as, but not limited to, Payee name, Payee account number, and Scheduled Payment Date); "Payment Account" means your checking account from which a xxxx payment will be made; "Business Day" means Monday through Friday, excluding Federal Reserve holidays; "Scheduled Payment Date" means the Business Day of your choice upon which your xxxx payment will begin processing (a Scheduled Payment Date of a non-Business Day will be considered to be the previous Business Day); and "Cutoff Time" means 8:00 a.m. and 3:00 p.m. Central Time on any Business Day and is the time by which you must transmit Payment Instructions to have them considered entered on that particular Business Day. To gain access to Xxxx Pay, you may be offered must sign on to Online Services by entering your ID and PIN on the ability Bank's web page. Select "Xxxx Pay" from any Online Services screen. To use Xxxx Pay, you must provide information online to receive us to identify your Payees. First select the "Add a Payee" tab located in Xxxx Pay. You can follow the on-screen prompts for paying a Company, a Person or a Bank or Credit Union to search the extensive database for existing Payees or set up a new Payee. You must provide sufficient information about a Payee to permit us to properly direct a payment from and permit the consumer directly via Payee upon receipt of a payment to identify you as the payment source. You do this by filling in all required fields with accurate information, as directed by the Xxxx Leads mobile application (“Xxxx Pay”) Pay screen messages. By providing us with the names and account information of those Payees to whom you wish to direct payment, you authorize us to follow the Payment Instructions that we receive through the payment system. For any amounts that we determine you owe us, we may (i) immediately charge your method of payment; (ii) offset any amounts that are payable by you to us (in reimbursement or otherwise) against any payments we may make to you or amounts we may owe you; (iii) invoice you for amounts due to us, in which case you will pay the invoiced amounts upon receipt; (iv) reverse any credits to your bank account; or (v) collect payment or reimbursement from you by any other lawful means.:
