Xxxx Payment. The Business understands that online xxxx payment is provided to the Business for its convenience. The actual payment of such bills is handled by Northwest’s Online xxxx payment partner, Checkfree. Northwest cannot and will not be held responsible for the completion and accuracy of such transactions. PAYMENT AUTHORIZATION AND PAYMENT REMITTANCE By providing Checkfree with names and account information of Billers to whom you wish to direct payments, you authorize Checkfree to follow the Payment Instructions that it receives through the payment system. In order to process payments more efficiently and effectively, Checkfree may edit or alter payment data or data formats in accordance with Xxxxxx directives. When Checkfree receives a Payment Instruction, you authorize them to debit your Payment Account and remit funds on your behalf so that the funds arrive as close as reasonably possible to the Scheduled Payment Date designated by you. You also authorize Checkfree to credit your Payment Account for payments returned to the Service by the United States Postal Service or Xxxxxx, or payments remitted to you on behalf of another authorized user of the Service. Checkfree will use its best efforts to make all your payments properly. However, they shall incur no liability and any Service Guarantee shall be void if Checkfree is unable to complete any payments initiated by you because of the existence of any one or more of the following circumstances: If, through no fault of Checkfree, your Payment Account does not contain sufficient funds to complete the transaction or the transaction would exceed the credit limit of your overdraft account; The payment processing center is not working properly and you know or have been advised by Checkfree about the malfunction before you execute the transaction; You have not provided Checkfree with the correct Payment Account information, or the correct name, address, phone number, or account information for the Xxxxxx; and/or, Circumstances beyond control of Checkfree (such as, but not limited to, fire, flood, or interference from an outside force) prevent the proper execution of the transaction and the Service has taken reasonable precautions to avoid those circumstances. Provided none of the foregoing exceptions are applicable, if Checkfree causes an incorrect amount of funds to be removed from your Payment Account or causes funds from your Payment Account to be directed to a Xxxxxx which does not comply with your Payment Instructions, Checkfree shall be responsible for returning the improperly transferred funds to your Payment Account, and for directing to the proper Xxxxxx any previously misdirected transactions, and, if applicable, for any late payment related charges. PAYMENT METHODS Checkfree reserves the right to select the method in which to remit funds on your behalf to your Xxxxxx. These payment methods may include, but may not be limited to, an electronic payment, an electronic to check payment, or a laser draft payment. (Funds remitted to the Xxxxxx are deducted from your Payment Account when the laser draft is presented to your financial institution for payment). Each time you make a xxxx payment is provided to through Telephone Banking/Online Banking, you will receive a Reference Number from us and you will retain the Business for its convenienceReference Number in your records, as your confirmation that we have received your payment instructions. Xxxx payments made through a Terminal or through Telephone Banking/Online Banking will be reflected on the relevant Xxxx Issuer’s records as of the date of payment. Some Xxxx Issuers may take up to 2 business days to reflect the payment in their records. You agree that, if you have a dispute with a Xxxx Issuer concerning its failure to give credit for a xxxx payment, or the imposition of any additional charges such as late payment fees or interest penalties, you will settle such dispute directly with the Xxxx Issuer. You are solely responsible for the completion ensuring that we have accurate and accuracy of such transactions. PAYMENT AUTHORIZATION AND PAYMENT REMITTANCE By providing Checkfree with names and account complete information of Billers for each Xxxx Issuer to whom you wish to direct paymentsmake an electronic payment through our systems including, without limitation, the Xxxx Issuer Account Information. Furthermore, you authorize Checkfree and consent to follow our exchanging Xxxx Issuer Account Information with the Payment Instructions Xxxx Issuer (including, without limitation, employees and agents of the Xxxx Issuer) for the purposes of updating your Xxxx Issuer Account Information to ensure that it receives through information in our records concerning your account with the payment system. In order to process payments more efficiently Xxxx Issuer is accurate and effectively, Checkfree may edit or alter payment data or data formats in accordance with Xxxxxx directives. When Checkfree receives a Payment Instruction, you authorize them to debit your Payment Account and remit funds on your behalf so that the funds arrive as close as reasonably possible to the Scheduled Payment Date designated by youup-to-date. You also authorize Checkfree agree that: • we are under no obligation to credit your Payment keep Xxxx Issuer Account for payments returned Information up-to-date or to contact the Service by the United States Postal Service Xxxx Issuer to obtain, verify or Xxxxxx, or payments remitted update Xxxx Issuer Account Information; and • we will not be liable to you on behalf or any third party by reason of another authorized user a loss, liability or claim arising in connection with us not being in possession of the Service. This Service is provided available pursuant to a license Agreement by and between Bridge City Bank and CheckFree. Bridge City Bank reserves the Business for its convenienceright to terminate your use of Xxxx Payment at any time. PAYMENT AUTHORIZATION AND PAYMENT REMITTANCE By providing Checkfree with the names and account information of Billers those Payees to whom you wish to direct paymentspayment, you authorize Checkfree Bridge City Bank to follow the Payment Instructions payment instructions that it receives through the payment system. In order to process payments more efficiently and effectively, Checkfree may edit or alter payment data or data formats in accordance with Xxxxxx directivesfrom you. When Checkfree receives we receive a Payment Instructionpayment instruction, you authorize them us to debit your Payment Account account and remit funds on your behalf so that the funds arrive as close to the payment date designated by you as reasonably possible possible. Bridge City Bank shall not be obligated to make any such payment unless your account has sufficient funds to pay the xxxx. Each Scheduled Payment Date selected by you must be entered no less than five (5) business days before the actual due date, not the late date and/or a date in the grace period. Your Payment Account will be debited for each xxxx payment on the Scheduled Payment Date. Payment instructions entered after 11:59 PM Eastern Time (10:59 PM Central) or a non-Business Day will be considered entered on the next Business Day. If you properly follow the procedures described herein, and we fail to send a payment according to your payment instructions received, we will bear responsibility for late charges up to $50.00 maximum. In any event, including, but not limited to, choosing a scheduled payment date no less than five (5) Business Days before the actual due date, the risk of incurring and the responsibility for paying any and all late charges or penalties shall be borne by you. We will not be liable if any third party through which any xxxx payment is made fail to properly transmit the payment to the intended payee. A xxxx payment is “In Process” starting at 11:59 PM Eastern Time (10:59 PM Central) on the fourth (4th) Business Day prior to the Scheduled Payment Date designated by youand continuing up to the Scheduled Payment Date. There is no charge for canceling or editing a Pending Payment. Bridge City State Bank may not have a reasonable opportunity to credit act on any stop payment or cancellation order given after payment is “In Process” and it is not possible to stop or cancel a payment, which is “Completed.” If you desire to cancel or stop any payment, which is “In Process”, you must contact the Customer Service Department of Bridge City Bank at (000)000-0000 or call toll free at 0-000-000-0000. Although we will make every effort to accommodate your Payment Account request we will have no liability for payments returned failing to do so. Stop payment requests may not be sent to us via electronic mail. Stop payment requests will be accepted only if we have a reasonable opportunity to act on such requests. You will be required to sign a stop payment order and a fee for each stop payment for a xxxx payment may be charged in addition to the Service by current charge for such service as set out in the United States Postal Service or Xxxxxx, or payments remitted to you on behalf of another authorized user of the ServiceBridge City Bank Banking Fees. However, they we shall incur no liability and any Service Guarantee shall be void if Checkfree is we are unable to complete any payments initiated by you because of the existence of any one or more of the following circumstances: If, If through no fault of Checkfreeours, your Payment Account payment account does not contain have sufficient funds to complete the transaction or the transaction would exceed the credit limit of your overdraft privilege; If a legal order prohibits withdrawals from your payment account; If the payment account is closed or frozen; If you have been negligent with or given your PIN to another person(s); Your failure to “sign off or log off” to end your Bridge City State Bank Online session; The xxxx payment processing center or the electronic funds transfer system is not working properly and you know knew or have been were advised by Checkfree about Bridge City Bank of the malfunction before you execute the transaction; The payee mishandles or delays a payment sent by us; You have not provided Checkfree Bridge City Bank with the correct Payment Account information, or the correct name, address, phone number, or account information for the XxxxxxPayee; and/or, Circumstances If you have not properly followed the instructions for using Bridge City State Bank Online Banking instructions for xxxx payment; If there are circumstances beyond Bridge City Bank control of Checkfree (such as, but not limited to, fire, flood, loss of electricity or failure of telecommunications equipment or lines, or interference from an outside force) prevent the proper execution of the transaction and the Service has taken reasonable precautions to avoid those circumstances. There may be other exceptions stated in our agreement(s) with you. Provided none of the foregoing eleven (11) exceptions are applicable, if Checkfree causes we cause an incorrect amount of funds to be removed from your Payment Account or causes cause funds from your you Payment Account to be directed to a Xxxxxx Payee which does not comply with your Payment Instructions, Checkfree we shall be responsible for returning the improperly transferred funds to your you Payment Account, Account and for directing to the proper Xxxxxx Payee any previously misdirected transactions, and, if applicable, for any late . Due Date means the date by which you schedule the payment to be delivered to a payee unless the date falls on a non-business day, in which case it shall be the preceding Business Day. You must determine the Due Date based upon the payee-provided due date, any applicable grace period, late payment policy or late fee and/or your knowledge of actual time required for the payee to receive and process the payment. You must schedule the Due Date far enough in advance to allow the service to process and send the payment to the payee in advance of the Due Date. This may be up to five days prior to the Due Date. The system will provide you the earliest possible Due Date for a particular payment. You must schedule payments prior to that day’s cut-off time for xxxx payments. The current cut-off time is provided within the Xxxx Payment interface. You should not use Xxxx Payment services to make tax payments, court ordered payments or payments to settle securities transactions. Fifth Third Bank reserves the right in its sole discretions to restrict categories of payees to whom payments may be made using the service. If you do, you may lose some of the protections afforded to you in this agreement, including late payment reimbursement. Some xxxx payments are made via check and some are made via electronic transaction (ACH). Fifth Third Bank cannot control when a check will be presented by a payee and it is possible for a check to be presented before the due date. Cut-off times can be found on the EFSB Online Business Banking website. Stop Payments Your stop payment requests must follow the procedures and specifications we establish for its conveniencethis service. You must provide us with timely, complete and accurate information on:  The actual number of the account against which the item is drawn;  The date of the item;  The item number; and  The exact amount (dollars and cents) of the item Complete accuracy is essential since stop payment orders are processed by computers operating on the basis of such bills precise data. If any of the required information is handled by Northwest’s Online xxxx payment partnerincomplete or incorrect, Checkfree. Northwest cannot and we will not be held responsible for failing to complete the completion order. Stop payment requests, which cover a range of checks that are missing or stolen, may be processed by us without regard to the dollar amount. A stop payment order becomes effective when we confirm its receipt and accuracy of such transactionshave verified that the item has not been paid. PAYMENT AUTHORIZATION AND PAYMENT REMITTANCE By providing Checkfree with names We will not be able to verify this immediately for items paid more than 90 days prior to your request. Stop payment orders are in effect for six months and account information of Billers can be renewed after the 6‐month period upon your written request. Failure to whom you wish renew the stop payment order may result in the item being paid. From time to direct paymentstime, our systems may be inoperable. If that occurs, you may transmit stop payment orders by telephone instruction. You are advised that under applicable state law, stopping payment on a check may not relieve you of your obligation to pay the check. Business Mobile Banking You have the option of accessing EFSB Online Business Banking by enrolling to use an internet enabled mobile device. When using a mobile device you may:  Review account balances, account details and transaction history  Make one‐time funds transfers between EFSB Accounts  Initiate payments from recipients previously established by you on EFSB Online Business Banking  Receive alerts requesting you to authorize Checkfree transactions Refer to follow the Payment Instructions that it receives current EFSB schedule of fees to determine mobile banking fees. When you use Business Mobile Banking you agree to the following terms and conditions:  We may send any message through the payment system. In your Internet service provider in order to process payments more efficiently and effectively, Checkfree may edit or alter payment data or data formats in accordance with Xxxxxx directives. When Checkfree receives a Payment Instruction, you authorize deliver them to debit your Payment Account and remit funds on your behalf so that the funds arrive as close as reasonably possible to the Scheduled Payment Date designated by you. You also authorize Checkfree agree that your communication services provider is acting as your agent in this capacity.  You agree to credit provide a valid phone number for this service so that we may send you certain information about your Payment Account applicable account. We will determine in our sole discretion what information we make available through this service.  You agree to indemnify, defend and hold us harmless from and against any and all claims, losses, liability, cost and expenses (including reasonable attorneys' fees) arising from your provision of a phone number that is not your own or your violation of applicable federal, state or local law, regulation or ordinance. Your obligation under this paragraph shall survive termination of the Agreement.  Business Mobile Banking is provided for payments returned your convenience and does not replace your monthly account statement(s), which are the official record of your accounts.  You agree to protect your communications device that receives information through this service and not to let any unauthorized person have access to the Service by the United States Postal Service or Xxxxxx, or payments remitted information we provide to you on behalf through this service.  Receipt of another authorized user of the Service. Checkfree will use its best efforts to make all your payments properly. However, they shall incur no liability and any Service Guarantee shall be void if Checkfree is unable to complete any payments initiated by you because of the existence of any one or more of the following circumstances: If, through no fault of Checkfree, your Payment Account does not contain sufficient funds to complete the transaction or the transaction would exceed the credit limit of your overdraft account; The payment processing center is not working properly and you know or have been advised by Checkfree about the malfunction before you execute the transaction; You have not provided Checkfree with the correct Payment Account information, or the correct name, address, phone number, or account information through Business Mobile Banking may be delayed or impacted by factor(s) pertaining to your phone carrier or other parties outside of our control.  We will not be liable for losses or damages caused in whole or in part by your actions or omissions that result in any disclosure of account information to third parties. Also, nothing about Business Mobile Banking creates any new or different liability for us beyond what is already applicable under your existing account agreements.  EFSB charges for the Xxxxxx; and/or, Circumstances beyond control of Checkfree (such as, but not limited to, fire, flood, or interference from an outside force) prevent the proper execution of the transaction and the Service has taken reasonable precautions to avoid those circumstances.
