Xxxx Searches. The Administrative Agent shall have received the results of (i) searches of the UCC filings (or equivalent filings) and (ii) tax lien searches, made with respect to the Loan Parties in, with respect to searches in respect of clause (i), the states or other jurisdictions of formation of such Persons and, with respect to searches in respect of clause (ii), such other locations as are satisfactory to the Administrative Agent, together with copies of the financing statements (or, in the case of clause (ii), similar documents) disclosed by such searches.
Xxxx Searches. Delivery to Administrative Agent of the results of a recent search of all effective UCC financing statements and fixture filings and all judgment and tax lien filings which may have been made with respect to any personal or mixed property of DAH and any of its Domestic Subsidiaries, together with copies of all such filings disclosed by such search.
Xxxx Searches. Lender shall be provided with UCC searches, title insurance policies, or other written evidence as required by Lender with respect to the validity, enforceability and priority of its liens, security interests and other encumbrances upon the Collateral;
Xxxx Searches. The Administrative Agent shall have received searches of UCC filings in the respective jurisdictions in which each member of the Borrower Group (other than the Canadian Subsidiary) is organized, the respective jurisdictions in which the chief executive offices of the Parent and the Borrower are located, and the respective jurisdictions in which any Collateral owned by any member of the Borrower Group (other than a Canadian Subsidiary) is located, and each other jurisdiction in which a filing would need to be made in order to perfect the Administrative Agent’s security interest in the Collateral owned by the members of the Borrower Group (other than a Canadian Subsidiary), copies of the financing statements on file in such jurisdictions and other evidence that the Administrative Agent may reasonably require to confirm that no Liens exist as of the Closing Date other than Permitted Liens.
Xxxx Searches. Purchaser shall have received UCC, tax, judgment and lien search results with respect to Key Resources and the “Seller” as defined under the Key Resources Acquisition Agreement, from all appropriate jurisdictions and filing offices as requested by the Agent, with results satisfactory to the Agent, together with executed originals of such termination statements, releases and cancellations of mortgages required by the Agent in connection with the removal of any Liens (other than Permitted Liens) against the assets of Key Resources and the assets and equity interests being acquired pursuant to the Key Resources Acquisition Agreement.
Xxxx Searches. The Collateral Agent shall have received the results of a recent Lien and judgment search with respect to each Loan Party and in each jurisdiction as reasonably requested by the Collateral Agent at least five (5) Business Days prior to the Eighth Amendment Effective Date.
Xxxx Searches. The Administrative Agent shall have received the results of a recent lien search in each jurisdiction where the Loan Parties are organized, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section 6.02 of the Credit Agreement.
Xxxx Searches. The Administrative Agent shall have received the results of a recent Lien search in each of the UCC jurisdictions where assets of each Loan Party are located and the jurisdiction where each of each Loan Party specified by the Administrative Agent is located under Article 9 of the UCC, and such searches shall reveal no Liens on any of the assets of the Loan Parties, except for Liens that would be permitted by under Section 7.3 of the Credit Agreement.
Xxxx Searches. The Lender shall have received UCC lien searches with respect to each Obligor and such other lien searches with respect to each Obligor as the Lender may reasonably request and such lien searches indicate, among other things, that the assets of each such Obligor are free and clear of any Lien (except for Liens that will be terminated on the date hereof as required by Section 3.1C); and

The Administrative Agent and the FILO Documentation Agent each shall have received the results of (i) searches of the UCC filings (or equivalent filings) and (ii) tax lien searches, made with respect to the Loan Parties in, with respect to searches in respect of clause (i), the states or other jurisdictions of formation of such Persons and, with respect to searches in respect of clause (ii), such other locations as are satisfactory to the Administrative Agent and the FILO Documentation Agent, together with copies of the financing statements (or, in the case of clause (ii), similar documents) disclosed by such searches.
