Xxxx-Xxxxx; Basel III. Notwithstanding anything herein to the contrary, (i) the Xxxx-Xxxxx Xxxx Street Reform and Consumer Protection Act and all requests, rules, guidelines or directives thereunder or issued in connection therewith and (ii) all requests, rules, guidelines or directives promulgated by the Bank for International Settlements, the Basel Committee on Banking Supervision (or any successor or similar authority) or the United States or foreign regulatory authorities, in each case in respect of this clause (ii) pursuant to Basel III, will, in each case, be deemed to be a change in law, treaty or governmental rule, regulation or order under subsection (a) above and/or a change in law, rule or regulation (or any provision thereof) regarding capital or liquidity requirements under subsection (b) above, as applicable, regardless of the date enacted, adopted or issued.

With respect to amounts due pursuant to Sections 2.15(a) and (b) as a result of changes in Law relating to Xxxx-Xxxxx or Basel III, the claim for additional amounts shall be generally consistent with such Lender’s treatment of customers of such Lender that such Lender considers, in its reasonable discretion, to be similarly situated as Borrower and having generally similar provisions in their agreements with such Lender, provided that such Lender shall not be required to disclose any confidential or proprietary information.

Section 6.01(b) of the Credit Agreement is hereby amended by (a) replacing the phrase “a consolidated balance sheet of Borrower and its Subsidiaries” appearing therein with the phrase “a consolidated balance sheet of Parent and its Subsidiaries”; (b) replacing the phrase “cash flows of Borrower and its Subsidiaries” appearing therein with the phrase “cash flows of Parent and its Subsidiaries”; and (c) replacing the phrase “certified by a Responsible Officer of Borrower” appearing therein with the phrase “certified by a Responsible Officer of Parent”. f. The Credit Agreement is hereby further amended by inserting the following new Section 10.19 therein, which shall read in its entirety as follows:

Xxxx-Xxxxx; Basel III. Notwithstanding anything in this Section 2.08 to the contrary, solely for the purposes of this Section 2.08, (i) the Xxxx-Xxxxx Xxxx Street Reform and Consumer Protection Act, and all requests, rules, regulations, guidelines and directives promulgated thereunder or issued in connection therewith and (ii) all requests, rules, guidelines or directives promulgated by the Bank for International Settlements, the Basel Committee on Banking Supervision (or any successor or similar authority referred to as Basel III), in each case pursuant to Basel III, or any law or regulation which implements Basel III, shall be deemed to have been enacted, adopted or issued, as applicable, subsequent to the Closing Date. Notwithstanding the foregoing, no Lender shall demand compensation for any increased cost or reduction pursuant to this Section 2.08(d) unless such Lender certifies to the Borrower that it is demanding such compensation in similar circumstances under comparable provisions of other credit agreements.

  • Xxxxx-Xxxxx Act Xxxxx-Xxxxx Act, as amended (40 U.S.C. 3141-3148). When required by Federal program legislation, all prime construction contracts in excess of $2,000 awarded by non- Federal entities must include a provision for compliance with the Xxxxx-Xxxxx Act (40 U.S.C. 3141- 3144, and 3146-3148) as supplemented by Department of Labor regulations (29 CFR Part 5, “Labor Standards Provisions Applicable to Contracts Covering Federally Financed and Assisted Construction”). In accordance with the statute, contractors must be required to pay wages to laborers and mechanics at a rate not less than the prevailing wages specified in a wage determination made by the Secretary of Labor. In addition, contractors must be required to pay wages not less than once a week. The non-Federal entity must place a copy of the current prevailing wage determination issued by the Department of Labor in each solicitation. The decision to award a contract or subcontract must be conditioned upon the acceptance of the wage determination. The non-Federal entity must report all suspected or reported violations to the Federal awarding agency. The contracts must also include a provision for compliance with the Xxxxxxxx “Anti-Kickback” Act (40 U.S.C. 3145), as supplemented by Department of Labor regulations (29 CFR Part 3, “Contractors and Subcontractors on Public Building or Public Work Financed in Whole or in Part by Loans or Grants from the United States”). The Act provides that each contractor or Subrecipient must be prohibited from inducing, by any means, any person employed in the construction, completion, or repair of public work, to give up any part of the compensation to which he or she is otherwise entitled. The non-Federal entity must report all suspected or reported violations to the Federal awarding agency.
