Xxxxx and Binding. This Agreement shall be binding upon the Parties hereto and upon their heirs, administrators, representatives, executors, successors, and assigns, and shall inure to the benefit of said Parties and each of them and to their heirs, administrators, representatives, executors, successors, and assigns. Employee expressly warrants that such Employee has not transferred to any person or entity any rights, causes of action, or claims released in the Agreement.
Xxxxx and Binding. This Agreement, and any other agreement contemplated by this Agreement, constitutes a legal, valid and binding obligation of each of the Vendors enforceable in accordance with its terms, subject to applicable bankruptcy, insolvency, reorganization, moratorium and other similar laws affecting the rights and remedies of creditors and the general principles of equity.
Xxxxx and Binding. All acts, conditions and things required to be done and performed and to have occurred prior to the execution, delivery and performance of this Agreement, and to constitute the same the legal, valid and binding obligation of such party enforceable against such party in accordance with its terms, have been done and performed and have occurred in due and strict compliance with all applicable laws.
Xxxxx and Binding. This Agreement constitutes the legal, valid and binding obligation of each of the Indemnitors in accordance with the respective terms hereof, subject to bankruptcy, insolvency and similar laws of general application affecting the rights and remedies of creditors, and with respect to the availability of the remedy of specific enforcement subject to the discretion of the court before which proceedings therefor may be brought;
Xxxxx and Binding. All the contracts entered into by the Eqalis Group have been validly executed by the respective Eqalis Group entity and, to the best of the Directors’ and Officers’ knowledge and belief, the respective counterparties to those contracts, and to the best of the Directors’ and Officers’ knowledge and belief, represent the binding and legally enforceable obligations of the respective parties to those contracts.
Xxxxx and Binding. All the contracts entered into by the CBD Group have been validly executed by the respective CBD Group entity and the respective counterparties to those contracts, and represent the binding and legally enforceable obligations of the respective parties to those contracts.
Xxxxx and Binding. Each (a) Operating Permit is legal, valid, binding and enforceable in accordance with its terms, and in full force and effect, and (b) Permit listed on Part A of Schedule 6.13 has not been replaced, amended or modified since the Effective Date without the approval of Buyer in accordance with Section 5.1;
Xxxxx and Binding. This Agreement is the legal, valid and binding obligation of Grantor, enforceable against it in accordance with its terms, except as enforceability may be limited by bankruptcy and other similar laws affecting the rights of creditors generally or by general principles of equity.
Xxxxx and Binding. The Contracts on Schedule 5.11(a) of the Disclosure Schedules are valid and binding in accordance with their respective terms and are in full force and effect without any default, waiver or indulgence thereunder by the Company, Subsidiaries, or, to the Knowledge of the Company, by any other party thereto.
Xxxxx and Binding. The arbitration shall be final and binding upon all of the parties and shall be enforceable to the extent permitted by law.
