Common use of Xxxxx of Appointment Clause in Contracts

Xxxxx of Appointment. Subject to the terms and conditions set forth in this Agreement, the Fund hereby employs and appoints RPS to perform the services and functions described herein in connection with certain Retirement Plans and Retirement Accounts as agreed upon by the parties. In rendering the services required under this Agreement, RPS may, consistent with applicable law, from time to time employ, delegate, or appoint an affiliated or unaffiliated party or person to carry out some or all of the services or obligations under this Agreement. RPS shall remain liable to the Funds and the Funds will remain liable to RPS, for the performance of such services and obligations, in the same manner and to the extent as if RPS were itself providing the services or obligations, to the extent specified in this Agreement.
