Xxxxxx Enhancement After Acceptance. If, at any time following Acceptance, a Material Decline in Guarantor's Credit Standing occurs, the Company shall provide credit enhancement of its obligations hereunder in the form either of (1) an unconditional guarantee of all of the Company's obligations hereunder provided by a corporation or financial institution whose long-term senior debt is or would be rated investment grade by a Rating Service and which corporation or financial institution is acceptable to the City, or (2) a letter of credit securing the Company's obligations hereunder in the face amount equal to $4,000,000.00 provided by a financial institution whose long-term senior debt is or would be rated "A" or better by a Rating Service. If, at any time following Acceptance, a Material Event Regarding the Guarantor’s Credit Standing occurs, the City shall have the right to cause the Company to provide credit enhancement of its obligations upon 30 days notice by the City. Such credit enhancement shall be in the form either of (1) an unconditional guarantee of all of the Company's obligations hereunder provided by a corporation or financial institution other than the Guarantor whose long-term senior debt is or would be rated investment grade by a Rating Service and which Corporation or financial institution is acceptable to the City, or (2) a letter of credit securing the Company's obligations hereunder in the face amount equal to $4,000,000.00 provided by a financial institution whose long-term senior debt is or would be rated “A” or better by a Rating Service.
