The Company agrees that any information or advice rendered by Xxxxxx in connection with this engagement is for the confidential use of the Company only in their evaluation of the Placement and, except as otherwise required by law, the Company will not disclose or otherwise refer to the advice or information in any manner without Xxxxxx’x prior written consent. Notwithstanding the foregoing, the Company may file this Agreement and any Transaction Document with the Commission in any filing made by the Company pursuant to the Securities Act, the Exchange Act or the rules and regulations thereunder, and may refer to Xxxxxx’x engagement hereunder and the terms of this Agreement in any such filing (including any exhibit thereto).
