Xxxxxxxxxxx Xxxxxxxxxxx. Xxxxxxxxxxx Xxxxxxxxxxx will become an employee of the Company, with the title of Director of Engineering, effective January 2, 2002. As Director of Engineering, Xx. Xxxxxxxxxxx will be responsible for coordinating the Company’s efforts to transfer Asvan’s YIG technology to the Company, working with other Company personnel to establish the Company’s manufacturing capability for the YIG Technology Based Products, and training the Company’s design engineering personnel in the design of YIG oscillators. Xx. Xxxxxxxxxxx will be paid an annual salary of $100,000 and will be entitled to the same rights, benefits, and privileges as other Company employees under any generally applicable employee benefit plan. Additional terms of Xxx. Xxxxxxxxxxx’x employment will be included in an offer letter from the Company which will be executed on the Closing Date (the “Employment Offer”). Except as may be provided otherwise in the Employment Offer, Xx. Xxxxxxxxxxx will be an “at will” employee of the Company and will not be entitled to any rights, benefits or privileges other than those provided to employees of the Company generally. The Company acknowledges that Xxx. Xxxxxxxxxxx is, and will continue to be during the term of her employment by the Company, the President of Asvan.
