Yearly Term. If Customer determines that for any reason they wish to terminate the Services prior to the end of the then- current yearly term, Customer shall: a) provide Company with 45 days written notice of its intent to terminate, b) pay to Company the difference between the full price for the Services received to the date of termination and any discount provided, and c) pay an early termination fee in an amount equal to 50% of the remaining contract term at the undiscounted base rate. In the event of prepayment for a term of Service exceeding one year, Company shall refund to the Customer an amount equal to 50% of the remaining contract term in excess of one (1) year at the undiscounted base rate.
