This Amended and Restated Employment Agreement (this “Agreement”) is made effective as of February 18, 2014 (the “Effective Date”), by and between Cheviot Saving Bank, an Ohio-chartered stock savings and loan association (the “Bank”) and Thomas J. Linneman (“Executive”). The Bank and Executive are sometimes collectively referred to herein as the “parties.” Any reference to the “Company” shall mean Cheviot Financial Corp., the holding company of the Bank. The Company is a signatory to this Agreement for the purpose of guaranteeing the Bank’s performance hereunder.

This letter sets forth the agreement between Cheviot Savings Bank, Cheviot, Ohio (the “Bank”), the wholly-owned subsidiary of Cheviot Financial Corp. (the “Company”), which in turn is the majority-owned subsidiary of Cheviot, MHC (the “MHC”), and RP® Financial, LC. (“RP Financial”), whereby RP Financial will provide the independent conversion appraisal services in conjunction with the second step conversion transaction by the Company. The scope, timing and fee structure for these appraisal services are described below.
