AGREEMENT, made as of February 27, 2009 between Northern Lights Fund Trust, a Delaware statutory trust (the "Trust"), and CMG Capital Management Group, Inc., a corporation organized and existing under the laws of the State of Pennsylvania (the "Adviser") located at 150 N. Radnor-Chester Road, Suite A150, Radnor, Pennsylvania 19087.

THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of the 27th day of February, 2009, by and between NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”), on behalf of INCLINE CAPITAL LONG/SHORT FUND (the “Fund”) a series of the Trust, and the advisor of the Fund, Incline Capital, LLC (the “Advisor”).
