THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of the 21st day of November, 2013, by and between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), on behalf of the Rogé Partners Fund (the “Fund”) a series of the Trust, and the Advisor of the Fund, R.W. Rogé & Company, Inc., (the “Advisor”).

NORTHERN LIGHTS FUND TRUST III, a Delaware business trust (the “Trust”) which may issue one or more series of shares of beneficial interests (each a “Fund”), hereby appoints First National Bank of Omaha, a national banking association (“First National”), as custodian for each Fund identified in the attached Schedule A and enters into and executes this Agreement on behalf of each such Fund. First National shall act as custodian of cash, securities, and any other property acceptable to First National now or in the future deposited by each Fund with First National.

This will confirm the understanding and agreement (the “Agreement”) between the Northern Lights Fund Trust III (the “Trust”) and Gemini Fund Services, LLC (“GFS”), (collectively, the “Parties”), with respect to GFS’ provision of custody administration services (as “Custody Administrator”) to each series of the Trust (the “Funds”).
