The parties’ agreement dated as of July 14, 2005, together with the amendments thereto, is hereby deemed terminated and is replaced and superseded in its entirety by this Agreement. For the avoidance of doubt, the License Agreement dated as of July 1, 2007 (the “License Agreement”) shall not be replaced and superseded by this Agreement but shall remain in full force and effect.
