This AMENDMENT NUMBER 3 (the “Amendment”) amends that certain INVESTMENT MANAGEMENT AGREEMENT, dated March 14, 2016 (the “Agreement”), by and between Hartford Funds Management Company, LLC (the “Adviser”), Hartford Series Fund, Inc. (“HLS”), and Hartford HLS Series Fund II, Inc. (“HLS II”) (each a “Company”), on their own behalf and on behalf of each series listed on Schedule A hereto (collectively, the “Funds”), and is effective as of [April 23, 2024] (the “Effective Date”).

Appendix A of the Custodian Agreement made as of December 31, 2014, and effective as of January 1, 2015, as amended, modified, or supplemented from time to time (the “Agreement”), by and among each registered investment company party thereto, and State Street Bank and Trust Company (“State Street”), is hereby amended and replaced with Appendix A attached hereto.
