THIS AGREEMENT is made and entered into as of the 25th day of March, 2015, by and between Dearborn Capital Management, LLC, a limited liability company organized under the laws of Illinois, (the “Adviser”) registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and Revolution Capital Management, LLC, a Colorado limited liability company (the “Subadviser”), with respect to the Grant Park Absolute Return Fund (the “Fund”), a series of the NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”).

THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of the 25th day of March by and between NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”), on behalf of Grant Park Absolute Return Fund and Grant Park Fixed Income Fund (each a “Fund” and collectively referred to as the “Funds”) a series of the Trust, and the Advisor of the Fund, Dearborn Capital Management, LLC (the “Advisor”).
