This AGREEMENT is made as of August 27, 2015 between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), and Pinnacle Family Advisors, LLC, a Missouri limited liability company (the “Adviser”) located at 4200 S. Quail Creek Ave., Suite A, Springfield, MO 65810.

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 27th day of August, 2015, by and between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), on behalf of the Pinnacle Sherman Multi-Strategy Core Fund (the “Fund”) a series of the Trust, and the Advisor of the Fund, Pinnacle Family Advisors, LLC, (the “Advisor”).
