This AGREEMENT is made as of May 31, 2017 between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), and Counterpoint Mutual Funds, LLC, a California limited liability company (the “Adviser”) located at 127607 High Bluff Drive, Suite 280, San Diego, CA 92130 .

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 31st day of May, 2017, by and between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), on behalf of the Counterpoint Long-Short Equity Fund (the “Fund”) a series of the Trust, and the Advisor of the Fund, Counterpoint Mutual Funds, LLC, (the “Advisor”).

THIS CUSTODY AGREEMENT (this “Agreement”), is made as of June 7, 2017, by and between NORTHERN LIGHTS FUND TRUST III, a statutory trust organized under the laws of the State of Delaware (the "Company"), and FIFTH THIRD BANK, an Ohio banking corporation (the "Custodian").
