This AGREEMENT is made as of November 28, 2018 between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), and Ascendant Capital Management, LLC, a Delaware limited liability company (the “Adviser”) located at 10866 Wilshire Blvd., Suite 1600 Los Angeles, CA 90024.

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 28th day of November, 2018, by and between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), on behalf of the ACM Tactical Income Fund (the “Fund”) a series of the Trust, and the Advisor of the Fund, Ascendant Capital Management, LLC, (the “Advisor”).
