THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of the 3rd day of November, 2010, as revised March 26, 2014 and March 27, 2019 by and between NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”), on behalf of the Beech Hill Total Return Fund (the “Fund”) a series of the Trust, and the advisor of the Fund, Beech Hill Advisors, LLC (the “Advisor”).

THIS AGREEMENT is made and entered into as of the last date on the signature page, by and between NORHTERN LIGHTS TRUST, a Delaware statutory trust, ON BEHALF OF ITS SERIES THE 13D ACTIVIST FUND (the “Fund”), and U.S. BANK NATIONAL ASSOCIATION, a national banking association organized and existing under the laws of the United States of America with its principal place of business at Minneapolis, Minnesota (the “Custodian”).

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 19TH day of December, 2005, as amended on March 17, 2008 and December 14, 2009, as revised September 29, 2015, by and between NORTHERN LIGHTS FUND TRUST, a Delaware business trust (the “Trust”), on behalf of the Adaptive Allocation Fund, (the “Fund”) a series of the Trust and the Advisor of such Fund, Critical Math Advisors, LLC (the “Advisor”).
