Accepted Payment Methods definition

Accepted Payment Methods. Means a payment by Card, by bank wire transfer or by any other means accepted by the Service Provider in order to pay the purchase price for products bought via the Website to the Payment Account which the Seller holds with the Service Provider.

  • In case of other Accepted Payment Methods, the Service Provider will repay the Buyer corresponding to the Accepted Payment Method used by the Buyer for his/her payment.

  • The sums transferred by Accepted Payment Methods by the User or any third party are credited to the Payment Account opened on behalf of the User.

  • Payments through the Webshop may only be made by Accepted Cards or any Accepted Payment Method, provided that other payments to DAIMANI in respect of the purchased Hospitality Package (for the avoidance of doubt other than through the Webshop) may be made by wire transfer or those credit cards and Accepted Payment Methods identified as being accepted by DAIMANI from time to time.

  • The Employer agrees, before any organizational re-structuring or program cessation becomes effective that will result in the layoff or significant reduction in the hours of work of any Union member, to meet and enter into discussions with the Union Representative and Union Committee members regarding the changes and the effect which these changes have on employment status.

  • The payment services that will be provided by the Service Provider under this Framework Agreement shall include: - Opening and management of a Payment Account, - Crediting to the Payment Account: crediting funds to the Payment Account that have been transferred by Accepted Payment Methods by the User or any other party, - Debiting from the Payment Account: the execution of a Payment Transaction or the payment of any fees pursuant to this Framework Agreement.

  • Excepted Payments means and include (a)(i) any indemnity (whether or not constituting Supplemental Lease Rent and whether or not a Lease Event of Default exists) payable to either the Trust Company, the Lessor Manager, the Equity Investor, the Owner Lessor, or the Owner Participant or to their respective Indemnitees and successors and permitted assigns (other than the Lease Indenture Trustee) pursuant to Section 2.3, 9.1, 9.2, 11.1 or 11.2 of the Participation Agreement, Section 7.1 or 7.2 of the LLC Agreement, and any payments under the Tax Indemnity Agreement or (ii) any amount payable by the Company to the Owner Lessor, the Equity Investor or the Owner Participant to reimburse any such Person for its costs and expenses in exercising its rights or complying with its obligations under the Operative Documents, (b)(i) insurance proceeds, if any, payable to the Owner Lessor or the Owner Participant under insurance separately maintained by the Owner Lessor or the Owner Participant with respect to the Facility as permitted by Section 11.5 of the Facility Lease or (ii) proceeds of personal injury or property damage or other liability insurance maintained under any Operative Document for the benefit of the Trust Company, the Lessor Manager, the Owner Lessor or the Owner Participant, (c) any amount payable to the Owner Participant as the purchase price of the Owner Participant's right and interest in the Member Interest, (d) any amounts payable to the Owner Participant upon exercise by the Company of the Special Lessee Transfer pursuant to Section 13.1 of the Participation Agreement, (e) all other fees expressly payable to the Owner Participant, the Equity Investor or the Owner Lessor under the Operative Documents, (f) if the Facility Lessee exercises its right to assume the Lessor Notes, any Termination Value (or amount calculated by reference thereto) or purchase price payable by the Facility Lessee in connection therewith, (g) any payments made under the Lessee Guaranty in respect of any of the foregoing and (h) any payments in respect of interest, or any payments made on an After-Tax Basis, to the extent attributable to payments referred to in clause (a) through (g) above that constitute Excepted Payments.

  • Available Equity Amount means a cumulative amount equal to (without duplication):

  • Deferred Payment Date for a Participant means the date after the Restricted Period in respect of Restricted Share Units which is the earlier of (i) the date which the Participant has elected to defer receipt of the underlying Shares in accordance with Section 4.5 of this Plan; and (ii) the Participant’s Separation Date.

  • Investment Amount means the dollar amount to be invested by Investor to purchase Put Shares with respect to any Put as notified by the Company to Investor in accordance with Section 2.2.

  • Make-Whole Payment means, with respect to any Series 2015-1 Note on any Optional Repurchase Distribution Date, the pro rata share with respect to such Series 2015-1 Note of the excess, if any, of (x) the sum of the Discounted Values for each Remaining Distribution Amount with respect to each Applicable Distribution Date over (y) the Series 2015-1 Invested Amount as of such Optional Repurchase Distribution Date (determined after giving effect to any payments made pursuant to Section 2.5(a) on such Distribution Date).

  • Discounted Prepayment Option Notice has the meaning specified in Section 2.05(d)(ii).

  • Make-Whole Redemption Margin means the margin specified as such in the relevant Final Terms.

  • Required Payment shall have the meaning assigned such term in Section 4.04.

  • Call Option Repayment Date means the settlement date for the Call Option determined by the Issuer pursuant to Clause 10.2 (Voluntary early redemption – Call Option), Clause 10.3(d) or a date agreed upon between the Bond Trustee and the Issuer in connection with such redemption of Bonds.

  • Calculation Amount means the amount specified as such on the face of any Note, or if no such amount is so specified, the Denomination Amount of such Note as shown on the face thereof;

  • Proposal Due Date means the date and time specified in the Proposal Invitation, or any addenda thereto, by which Vendors are required to submit Proposals for this Proposal Invitation.

  • Extended Term Loan Repayment Amount shall have the meaning provided in Section 2.5(c).

  • Qualifying Replacement Capital Covenant has the meaning specified in the Replacement Capital Covenant.
