Accountants' Letter definition

Accountants' Letter has the meaning specified in Section 5.02(b).
Accountants' Letter means a letter executed by the Independent Accountants of the Issuer substantially in the form set forth in Exhibit I and completed in the manner required by the applicable provisions of this Indenture.
