Accredited Shareholders definition

Accredited Shareholders means each Shareholder who has represented to the Parent in such Shareholder's Shareholder Representation Letter that such Shareholder is an "accredited investor" as that term is defined in Rule 501 promulgated under the Securities Act (as defined below).
Accredited Shareholders shall have the meaning set forth in Section 1.10(c)(i).
Accredited Shareholders means those PSR Shareholders who qualify as accredited investors pursuant to Regulation D as promulgated under the Securities Act and as set forth on Schedule 1.1(a) hereto. "Acquisition Co." has the meaning set forth in the first paragraph of this Agreement. "Acquisition Co. Common Stock" has the meaning set forth in Section 2.6(e) (iii). "Actions or Proceedings" means any action, suit, proceeding, arbitration, Order, inquiry, hearing, assessment with respect to fines or penalties or litigation (whether civil, criminal, administrative, investigative or informal) commenced, brought, conducted or heard by or before, or otherwise involving, any Governmental or Regulatory Authority. "Affiliate" means, with respect to any Person, another Person that directly, or indirectly through one or more intermediaries, controls, is controlled by or is under common control with such Person. "Assets and Properties" and "Assets or Properties" of any Person each means all assets and properties of every kind, nature, character and description (whether real, personal or mixed, whether tangible or intangible, whether absolute, accrued, contingent, fixed or otherwise and wherever situated), including the goodwill related thereto, operated, owned or leased by such Person, including, without limitation, cash, cash equivalents, accounts and notes receivable, chattel paper, documents, instruments, general intangibles, real estate, equipment, inventory, goods and Intellectual Property.

  • Under no circumstances will Accredited Shareholders and/or Investors be awarded more shares than they applied for.

More Definitions of Accredited Shareholders

Accredited Shareholders means, collectively, those Company shareholders who have executed and delivered to Parent, prior to the Closing, an Accredited Shareholder Agreement and Letter of Transmittal.
